1. PURPOSE OF THIS PURCHASE ORDERThis Purchase Order is issued by Nile Automotive Manufacturing Co. (hereinafter referred to as the "Buyer") to Cairo Automotive Engineering Consultants Ltd. (hereinafter referred to as the "Seller") for the procurement of specialized Automotive Engineer professional services. The scope of this engagement is to provide qualified Automotive Engineer expertise for the design, testing, and quality assurance of next-generation compact vehicle platforms to be manufactured at the Buyer's facility in Egypt Cairo. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Automotive Engineer and the supporting technical team.
2. SCOPE OF WORK AND LINE ITEMSThe following line items constitute the full scope of services to be delivered under this Purchase Order for the Automotive Engineer engagement in Egypt Cairo:

All services under this Purchase Order shall be performed at the Buyer's manufacturing and R&D facility located in Egypt Cairo, specifically at Plot 14, Industrial Zone 3, 10th of Ramadan City, which falls under the broader Egypt Cairo metropolitan administrative jurisdiction. The Automotive Engineer and all supporting personnel shall report to the Buyer's site office in Egypt Cairo no later than 07:30 AM (Egypt Standard Time) on each scheduled working day. Any off-site activities, including component procurement from suppliers in the Egypt Cairo industrial corridor or testing at accredited laboratories in the Giza or 6th of October City districts, must be pre-approved in writing by the Buyer's Project Director.
4. PAYMENT TERMSPayment for this Purchase Order shall be made in Egyptian Pounds (EGP) via bank transfer to the Seller's designated account at the Central Bank of Egypt. The payment schedule is as follows:
- 30% Advance Payment (EGP 1,529,424): Due within 10 business days of the Buyer's receipt of a signed copy of this Purchase Order and the Seller's submission of a valid Egyptian Tax Authority invoice.
- 40% Milestone Payment (EGP 2,039,232): Due upon successful completion and Buyer sign-off of the Powertrain, Chassis, and ECU design deliverables, as certified by the Buyer's Chief Engineer in Egypt Cairo.
- 30% Final Payment (EGP 1,529,424): Due within 15 business days of final acceptance of all Automotive Engineer deliverables, completion of NVH testing, and submission of the full technical documentation package.
Late payments shall incur a penalty of 1.5% per month, in accordance with Egyptian Commercial Law (Law No. 17 of 1999) and the terms stipulated in this Purchase Order.
5. TERMS AND CONDITIONS- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Egyptian Arbitration Center in Egypt Cairo, in accordance with the Egyptian Arbitration Law No. 27 of 1994.
- Qualifications of the Automotive Engineer: The Automotive Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical, Automotive, or Mechatronics Engineering from an accredited Egyptian or internationally recognized university, with a minimum of eight (8) years of progressive experience in automotive OEM or Tier-1 supplier environments. The Seller shall provide CVs, degree certificates, and professional references for all Automotive Engineer personnel prior to commencement of work in Egypt Cairo.
- Intellectual Property: All designs, CAD files, test data, engineering reports, and proprietary knowledge generated by the Automotive Engineer under this Purchase Order shall be the exclusive property of the Buyer. The Seller and the Automotive Engineer shall execute a non-disclosure and IP assignment agreement as a condition of this Purchase Order.
- Compliance with Egyptian Regulations: The Seller and the Automotive Engineer shall comply with all applicable Egyptian labor laws, occupational health and safety regulations, and the standards set forth by the Egyptian Organization for Standardization and Quality (EOS). Work permits and residency visas for any non-Egyptian Automotive Engineer personnel shall be the sole responsibility of the Seller.
- Warranty and Defect Liability: The Seller warrants that all engineering services delivered under this Purchase Order shall be free from defects in design and workmanship for a period of twelve (12) months from the date of final acceptance in Egypt Cairo. Any defects discovered within this period shall be rectified by the Automotive Engineer at no additional cost to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered and materials procured up to the termination date. In the event of termination for cause (material breach by the Automotive Engineer or the Seller), the Buyer shall be entitled to a full refund of the advance payment plus any documented losses.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Egypt Cairo region, provided that the affected party notifies the other in writing within five (5) business days.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Automotive Engineer in Egypt Cairo. This Purchase Order becomes effective upon the signature of both authorized representatives and the affixation of the official company stamps.
