This Purchase Order is issued by Ethio Automotive Industries PLC for the procurement of specialized professional services rendered by a qualified Automotive Engineer to support the design, development, testing, and quality assurance of our new vehicle assembly line located in the Industrial Zone of Addis Ababa, Ethiopia. The Automotive Engineer shall provide full-time on-site technical expertise for a period of twelve (12) months, commencing on July 1, 2025, and concluding on June 30, 2026. The scope of work encompasses but is not limited to: engine calibration and performance optimization, transmission system design review, chassis and suspension engineering, electrical and electronic control unit (ECU) integration, compliance testing against Ethiopian National Standards Authority (ENSA) regulations, and coordination with local manufacturing teams in Addis Ababa to ensure production readiness.

All prices are quoted in Ethiopian Birr (ETB) and are inclusive of all applicable local taxes in Ethiopia Addis Ababa unless otherwise stated. The 15% VAT is applied in accordance with the Ethiopian Revenue and Customs Authority regulations.
5. Terms and Conditions5.1 This Purchase Order is governed by the Commercial Code of Ethiopia and applicable labor regulations of the Federal Democratic Republic of Ethiopia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Addis Ababa, Ethiopia, in accordance with the Ethiopian Arbitration and Conciliation Proclamation.
5.2 The Automotive Engineer engaged under this Purchase Order shall comply with all local labor laws, work permit requirements, and professional licensing standards mandated by the Ethiopian Ministry of Labor and Skills. The supplier shall ensure that the Automotive Engineer holds a valid professional engineering license recognized by the Ethiopian Engineers Association.
5.3 Payment shall be made in four (4) equal quarterly installments via bank transfer to the supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa branch. Invoices must be submitted no later than the 5th business day of each quarter.
5.4 The Automotive Engineer shall be required to work on-site at the Ethio Automotive Industries PLC facility in the Bole Sub-City Industrial Zone, Addis Ababa, Ethiopia, for a minimum of five (5) days per week, Monday through Friday, from 8:00 AM to 5:00 PM local time.
5.5 The supplier warrants that the Automotive Engineer possesses a minimum of ten (10) years of progressive experience in automotive engineering, with at least three (3) years of experience in vehicle assembly line design and commissioning. A verified curriculum vitae and professional references must be submitted prior to contract commencement.
5.6 All intellectual property, design documents, and technical data generated by the Automotive Engineer during the term of this Purchase Order shall remain the exclusive property of Ethio Automotive Industries PLC. The Automotive Engineer shall sign a non-disclosure and intellectual property assignment agreement prior to commencing work in Addis Ababa.
5.7 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the termination date, less any applicable penalties as defined herein.
5.8 The supplier shall maintain comprehensive professional liability insurance with a minimum coverage of ETB 10,000,000, valid throughout the duration of this Purchase Order, with Ethio Automotive Industries PLC named as an additional insured party.
6. Acceptance and AuthorizationThis Purchase Order becomes effective upon signature by both parties. The supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications outlined herein. The Automotive Engineer services described in this document are specifically procured for use at the designated facility in Ethiopia Addis Ababa, and no portion of the work may be subcontracted or relocated without prior written consent from the purchasing party.
