All Automotive Engineer personnel engaged under this Purchase Order shall report for duty at the Ghana Accra facility located at Plot 7, Industrial Area, Tema Free Zone, Accra, Ghana, no later than 1 August 2025. The vendor shall ensure that each Automotive Engineer holds a minimum of a Bachelor's degree in Automotive Engineering, Mechanical Engineering, or a closely related discipline, and possesses a valid practicing certificate from the Ghana Institution of Engineers (GIE). The Automotive Engineer team shall operate under the direct supervision of the consortium's Chief Technical Officer based in Ghana Accra.

• Payment Schedule: 30% advance payment upon acceptance of this Purchase Order; 40% upon successful onboarding and first 90-day performance review of the Automotive Engineer team; 30% upon completion of the 12-month contract term.
• Payment Method: Bank transfer to the vendor's designated account at Ecobank Ghana, Accra Branch (Account No. 0012-4456-7890).
• Payment Currency: Ghanaian Cedi (GHS). All amounts are inclusive of applicable withholding tax as per Ghana Revenue Authority regulations.
• Due Date: Invoices shall be settled within thirty (30) calendar days of receipt of a valid tax invoice.
• Late Payment: A penalty of 2% per month shall apply to overdue balances, in accordance with Ghanaian commercial law.

• This Purchase Order is governed by the laws of the Republic of Ghana, including the Companies Act, 2019 (Act 992) and the Labour Act, 2003 (Act 651).
• The vendor warrants that each Automotive Engineer engaged is fully qualified, insured, and authorized to perform professional engineering services within Ghana Accra and the wider Ghanaian jurisdiction.
• All intellectual property, designs, prototypes, and technical documentation produced by the Automotive Engineer team during the term of this Purchase Order shall be the sole property of Accra Automotive Engineering Consortium Ltd.
• The vendor shall maintain professional indemnity insurance of not less than GHS 2,000,000 for the duration of the contract.
• Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the vendor shall be compensated for services rendered up to the termination date.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Accra, Ghana, in accordance with the Arbitration Act, 2099 (Act 626).
• The vendor shall comply with all environmental, health, and safety regulations applicable to automotive engineering operations in Ghana Accra, including those enforced by the Environmental Protection Agency (EPA) of Ghana.
• This Purchase Order becomes effective upon signature by both authorized representatives and remains valid until the completion of all line items or the expiration date stated above, whichever occurs first.
