2. Scope of Work – Automotive Engineer Engagement

This Purchase Order is issued by Maruti Suzuki Automotive Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to Apex Automotive Engineering Consultants LLP (hereinafter referred to as the "Vendor") for the professional engagement of a senior Automotive Engineer to support the Buyer's electric vehicle (EV) platform development programme. The Automotive Engineer shall be physically stationed at the Buyer's R&D facility located in Andheri East, India Mumbai, and shall report directly to the Head of Powertrain Engineering. The scope of work encompasses the following deliverables:

Design, simulation, and validation of battery management systems (BMS) for the next-generation EV platform, ensuring compliance with AIS-039 and UN ECE R100 regulations applicable in India Mumbai and across the Indian automotive market.
Thermal management system architecture for high-voltage battery packs, including CFD analysis and prototype testing at the Buyer's test laboratory in India Mumbai.
Integration of motor-inverter assemblies with the vehicle's high-voltage electrical architecture, adhering to IEC 61851 and IS 18047 standards.
Preparation of detailed engineering documentation, including design specifications, failure mode and effects analysis (FMEA), and design verification reports, to be submitted to the Buyer's quality assurance team in India Mumbai.
Mentoring and technical guidance to a team of four junior engineers assigned to the EV-PLATFORM-2025-MUM project.
Participation in weekly design review meetings and monthly progress reporting to senior management at the India Mumbai headquarters.

5. Terms and Conditions

This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon acceptance. The Vendor shall assign a qualified Automotive Engineer with a minimum of twelve (12) years of experience in powertrain and high-voltage EV systems to fulfil the obligations outlined herein.
The Automotive Engineer shall work full-time (48 hours per week) at the Buyer's premises in India Mumbai during standard business hours (09:00 to 18:00 IST, Monday to Saturday). Any overtime shall be pre-approved in writing by the Buyer's project manager.
The Vendor shall ensure that the assigned Automotive Engineer holds a valid professional engineering licence and complies with all safety protocols mandated by the Buyer's occupational health and safety policy, which aligns with the Factories Act, 1948, and applicable regulations in the state of Maharashtra, India Mumbai.
Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Vendor. Invoices shall reference this Purchase Order number (PO/MSAS/2025/04782) and shall be submitted to the accounts department at the India Mumbai office.
All intellectual property, design documents, simulation data, and technical reports generated by the Automotive Engineer in the course of this engagement shall be the exclusive property of the Buyer. The Vendor and the Automotive Engineer shall sign a non-disclosure agreement (NDA) prior to commencement of work.
The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of unsatisfactory performance by the Automotive Engineer, subject to a performance review conducted at the India Mumbai site.
Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India Mumbai. The governing law shall be the laws of India.
The Vendor shall indemnify the Buyer against any claims, losses, or liabilities arising from negligence, gross misconduct, or breach of contract by the assigned Automotive Engineer.
This Purchase Order is valid only for the project referenced herein and shall not be construed as a general engagement agreement for future services in India Mumbai or elsewhere.

6. Acceptance and Authorisation

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Automotive Engineer at the India Mumbai facility.
