Description of Purchase Order — Automotive Engineer ServicesThis Purchase Order is issued by Bharat Automotive Solutions Pvt. Ltd., a registered entity operating in India New Delhi, to procure the professional services of a qualified Automotive Engineer for the duration of the project specified herein. The Automotive Engineer shall be engaged to provide comprehensive design, analysis, testing, and quality assurance services related to the development of next-generation electric vehicle powertrain systems. All services rendered under this Purchase Order shall be performed in accordance with the applicable standards of the Automotive Research Association of India (ARAI) and the Bureau of Indian Standards (BIS), and shall be delivered at the designated facility located in India New Delhi.
Scope of Work — Automotive Engineer EngagementThe Automotive Engineer engaged under this Purchase Order shall perform the following duties and deliverables at the project site in India New Delhi:
- Conduct full-cycle design and simulation of electric motor assemblies, battery management systems (BMS), and thermal management units for the Bharat EV-2026 platform.
- Perform finite element analysis (FEA) and computational fluid dynamics (CFD) studies on chassis components and ensure compliance with AIS-040 crash safety standards.
- Oversee prototype fabrication, bench testing, and road validation of the powertrain subsystem at the India New Delhi test facility.
- Prepare detailed engineering documentation, including design specifications, test reports, and certification dossiers for submission to the Ministry of Road Transport and Highways (MoRTH), Government of India.
- Coordinate with the in-house manufacturing team in India New Delhi to ensure design-for-manufacturability (DFM) and design-for-assembly (DFA) compliance.
- Provide weekly progress reports and monthly technical presentations to the project steering committee.

Terms and Conditions of this Purchase Order- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the supplier. The first 25% advance shall be released upon acceptance of this Purchase Order. Subsequent milestone payments of 25% each shall be due upon completion of design, testing, and documentation phases respectively. The final 25% balance shall be payable upon successful certification and handover of all deliverables.
- Performance Period: The Automotive Engineer shall commence services on or before 1 July 2025 and shall complete all deliverables by 30 June 2026, unless otherwise extended in writing by mutual consent of both parties.
- Work Location: All on-site activities, including design reviews, prototype testing, and manufacturing supervision, shall be conducted at the designated facility in India New Delhi. The Automotive Engineer shall comply with all site safety protocols and access control procedures of the India New Delhi premises.
- Intellectual Property: All designs, drawings, simulation data, test reports, and documentation produced by the Automotive Engineer under this Purchase Order shall be the exclusive property of Bharat Automotive Solutions Pvt. Ltd. The supplier shall execute a non-disclosure agreement (NDA) prior to commencing work.
- Quality & Compliance: The Automotive Engineer shall ensure that all work products conform to IATF 16949:2016 automotive quality management standards and all applicable regulations of the Automotive Research Association of India (ARAI) and the Bureau of Indian Standards (BIS).
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the supplier shall be compensated for all work satisfactorily completed up to the date of termination, less any applicable deductions.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in India New Delhi.
- Confidentiality: Both parties agree to maintain strict confidentiality of all technical, commercial, and proprietary information exchanged in connection with this Purchase Order for a period of five (5) years from the date of completion.
- Anti-Corruption & Compliance: The supplier warrants that no part of the consideration under this Purchase Order shall be used to offer, pay, or promise any improper benefit to any government official or employee in India New Delhi or elsewhere, in compliance with the Prevention of Corruption Act, 1988.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Automotive Engineer services in India New Delhi. This Purchase Order constitutes a binding agreement between the parties upon execution.
