This Purchase Order is issued by SAHEL AUTOMOTIVE ENGINEERING & CONSULTING SARL to procure the professional services of a qualified Automotive Engineer to support the design, testing, and validation of next-generation vehicle powertrain systems for the West African market. The Automotive Engineer shall be based and operate primarily in Ivory Coast Abidjan, specifically at the buyer's engineering facility located in the Cocody district, and shall report directly to the Chief Technical Officer. The scope encompasses engine calibration, emissions compliance testing aligned with ECOWAS regulatory standards, chassis dynamics analysis, and the development of hybrid drivetrain prototypes tailored for the road conditions prevalent in Ivory Coast Abidjan and the broader sub-region.

Commencement Date: The Automotive Engineer engagement shall commence on 1 August 2025. All personnel and equipment referenced in this Purchase Order must be mobilized to the buyer's facility in Ivory Coast Abidjan no later than 28 July 2025.
Work Location: Primary work shall be conducted at 12 Boulevard de Vridi, Cocody, Abidjan, Ivory Coast. Field testing activities may require travel within the Abidjan metropolitan area and along the Abidjan–Bouaké and Abidjan–Yamoussoukoro corridors.
Completion Deadline: All deliverables, including final calibration reports, emissions compliance documentation, and hybrid prototype validation data, shall be submitted by 31 July 2026.
Acceptance: The buyer shall have fifteen (15) business days from receipt of each milestone deliverable to issue a written acceptance or a detailed notice of non-conformance. Failure to respond within this period shall constitute deemed acceptance.

Payment shall be made in West African CFA Francs (XOF) via bank transfer to the supplier's designated account in Abidjan, Ivory Coast.
30% advance payment upon signature of this Purchase Order: 21,558,600 XOF.
40% upon completion of the six-month interim milestone (powertrain calibration and emissions testing): 28,744,800 XOF.
30% upon final acceptance of all deliverables: 21,558,600 XOF.
Payment terms are net thirty (30) days from the date of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Commercial Code of the Ivory Coast.

This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Côte d'Ivoire (Ivory Coast), including the OHADA Uniform Act on Commercial Companies and the applicable provisions of the Ivorian Commercial Code.
The Automotive Engineer engaged under this Purchase Order shall comply with all professional licensing requirements of the Ivorian Ministry of Higher Education and Scientific Research and shall maintain valid professional indemnity insurance with a minimum coverage of 50,000,000 XOF.
All intellectual property, design documents, calibration data, and test results produced in the course of this engagement shall be the exclusive property of the buyer. The supplier and the Automotive Engineer shall execute a non-disclosure agreement prior to commencement of work.
Any dispute arising from or in connection with this Purchase Order shall be resolved by arbitration in Abidjan, Ivory Coast, in accordance with the rules of the OHADA Arbitration Court. The language of arbitration shall be French, with all submissions and awards rendered in French.
This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
Neither party may assign or transfer its rights or obligations under this Purchase Order without the prior written consent of the other party.
