1. Scope of Work – Automotive Engineer ServicesThis Purchase Order is issued by Himalayan Automotive Industries Pvt. Ltd., a registered manufacturing and engineering firm headquartered in Nepal Kathmandu, to engage the services of a qualified Automotive Engineer for the design, development, testing, and quality assurance of next-generation vehicle powertrain components. The Automotive Engineer shall be responsible for overseeing the complete engineering lifecycle of the project, including but not limited to CAD modeling, finite element analysis (FEA), prototype fabrication supervision, road testing protocols, and compliance with the Nepal Department of Transport (DoT) regulatory standards. All work shall be performed at the company's primary facility located in the Industrial Area, Bhaktapur Road, Nepal Kathmandu, unless otherwise directed in writing by the project manager.

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Automotive Engineer service provider. All terms are governed by the Contract Act, 1956 of Nepal and applicable commercial regulations of Nepal Kathmandu.
3.2 The Automotive Engineer shall maintain professional liability insurance with a minimum coverage of NPR 50,00,000 throughout the duration of this Purchase Order. Proof of insurance shall be submitted prior to commencing work at the Nepal Kathmandu facility.
3.3 Payment shall be made in three equal installments: 40% upon signing of this Purchase Order, 40% upon completion of prototype fabrication and successful FEA validation, and 20% upon final handover and acceptance of all deliverables at the Nepal Kathmandu site.
3.4 The Automotive Engineer shall adhere to all safety protocols, environmental regulations, and labor laws as prescribed by the Government of Nepal. Any violation shall result in immediate suspension of this Purchase Order and potential legal action.
3.5 All intellectual property, design files, technical drawings, and documentation produced under this Purchase Order shall remain the exclusive property of Himalayan Automotive Industries Pvt. Ltd. The Automotive Engineer shall sign a Non-Disclosure Agreement (NDA) prior to access to proprietary data.
3.6 The Automotive Engineer is required to be physically present at the Nepal Kathmandu facility a minimum of five (5) working days per week. Remote work may be permitted only with prior written approval from the project manager.
3.7 In the event of force majeure (including but not limited to natural disasters, government-imposed lockdowns in Nepal Kathmandu, or supply chain disruptions), either party may suspend obligations under this Purchase Order with written notice within 72 hours.
3.8 Disputes arising from this Purchase Order shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act, 1995 of Nepal. The language of arbitration shall be Nepali, with English translations provided for technical documents.
3.9 This Purchase Order is valid for a period of twelve (12) months from the date of issue. Any extension beyond this period requires mutual written consent from both parties.
4. Acceptance and AuthorizationBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions outlined in this Purchase Order for the engagement of the Automotive Engineer. This document is executed in two (2) original copies, one retained by each party, and is valid in Nepal Kathmandu and throughout the Federal Democratic Republic of Nepal.
