3. Scope of Work – Automotive Engineer Services

This Purchase Order is issued by Te Awa Automotive Solutions Ltd. to Hemi Engineering & Design Group Ltd. for the engagement of a qualified Automotive Engineer to provide specialised technical services in the design, testing, and certification of next-generation electric vehicle powertrain components. All services under this Purchase Order shall be performed in and around New Zealand Auckland, in compliance with the New Zealand Motor Vehicle Standards and applicable local regulations administered by the New Zealand Transport Agency (NZTA).

The Automotive Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor of Engineering (Mechanical or Automotive) degree from a New Zealand-recognised institution, possess at least eight (8) years of post-qualification experience in automotive powertrain development, and maintain current professional registration with Engineers New Zealand. The Automotive Engineer shall be based at the buyer's facility in Penrose, New Zealand Auckland, and shall report directly to the Procurement Director.

5. Delivery and Performance Schedule

6. Terms and Conditions

This Purchase Order constitutes a binding agreement between the parties upon signature and shall be governed by the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Consumer Guarantees Act 1993 where applicable.
The Automotive Engineer shall perform all duties with reasonable skill and care, in accordance with the Australian and New Zealand Standard AS/NZS 8000 series for quality management and the relevant New Zealand Motor Vehicle Standards.
All intellectual property, designs, prototypes, and documentation created by the Automotive Engineer in the course of this Purchase Order shall vest in Te Awa Automotive Solutions Ltd. upon full payment.
Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Interest on Debts Act 1997 (New Zealand).
The supplier shall maintain adequate professional indemnity insurance (minimum NZD 5,000,000) and public liability insurance (minimum NZD 10,000,000) for the duration of this Purchase Order.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered and approved deliverables up to the date of termination.
All work under this Purchase Order shall be conducted in compliance with the Health and Safety at Work Act 2015 (New Zealand). The Automotive Engineer shall adhere to all site safety protocols at the New Zealand Auckland facility.
Disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Auckland before any escalation to the District Court of Auckland.
This Purchase Order may not be assigned or subcontracted without the prior written consent of the buyer.
All communications regarding this Purchase Order shall be in English and directed to the contact persons identified in Sections 1 and 2 above.

7. Authorisation and Acceptance

By signing below, the parties acknowledge that this Purchase Order for Automotive Engineer services in New Zealand Auckland has been reviewed, understood, and accepted in full. This document, together with any attached schedules, forms the complete agreement between the parties with respect to the subject matter herein.
