This Purchase Order is issued by the Federal Automotive Development Agency to procure the professional services of a qualified Automotive Engineer for a period of twelve (12) months, commencing 1 August 2025. The Automotive Engineer shall be physically stationed and shall carry out all assigned duties within the Federal Capital Territory, Nigeria Abuja, specifically at the FADA headquarters and affiliated testing facilities located in Wuse II and Garki, Nigeria Abuja.

The scope of work for the Automotive Engineer under this Purchase Order includes, but is not limited to: the design, development, and validation of next-generation vehicle powertrain systems; the conduct of rigorous emissions compliance testing in accordance with the Nigerian Environmental Standards and Regulations (NESREA) guidelines; the supervision of prototype assembly and quality assurance processes at the Nigeria Abuja manufacturing pilot plant; the preparation of technical documentation and engineering reports for submission to the National Automotive Council; and the provision of expert consultancy on vehicle safety standards applicable to the Nigeria Abuja road infrastructure and traffic conditions.

4. TERMS AND CONDITIONS OF THIS PURCHASE ORDER
  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Automotive Engineer within seven (7) calendar days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
  2. Place of Performance: All services under this Purchase Order shall be rendered exclusively within the boundaries of Nigeria Abuja, Federal Capital Territory. The Automotive Engineer shall report to the FADA headquarters at Aminu Kano Crescent, Wuse II, Nigeria Abuja, on all working days from Monday to Friday, 08:00 to 17:00 hours.
  3. Payment Terms: Payment shall be made in monthly instalments within fourteen (14) working days of receipt of a valid invoice from the Automotive Engineer. All payments shall be processed through the Federal Government of Nigeria treasury system and disbursed in Nigerian Naira to the bank account designated by the Automotive Engineer.
  4. Qualifications: The Automotive Engineer shall maintain a valid professional registration with the Nigerian Society of Engineers (NSE) and shall hold a minimum of a Bachelor's degree in Mechanical or Automotive Engineering from a recognised institution in Nigeria Abuja or elsewhere in the Federal Republic of Nigeria.
  5. Confidentiality: The Automotive Engineer shall treat all technical data, design specifications, and proprietary information accessed during the course of this Purchase Order as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Automotive Engineer shall be compensated for all services rendered up to the effective date of termination, calculated on a pro-rata basis.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
  8. Compliance: The Automotive Engineer shall comply with all applicable federal and state regulations in force in Nigeria Abuja, including but not limited to the Standards Organisation of Nigeria (SON) directives, the Federal Road Safety Corps (FRSC) vehicle standards, and the National Environmental Standards and Regulations Enforcement Agency (NESREA) environmental protocols.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to acts of God, civil unrest in Nigeria Abuja, government-imposed lockdowns, or pandemics.
  10. Entire Agreement: This Purchase Order, together with any annexures and schedules attached hereto, constitutes the entire agreement between the parties with respect to the procurement of Automotive Engineer services in Nigeria Abuja and supersedes all prior negotiations, representations, and agreements.

By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Automotive Engineer professional services to be executed in Nigeria Abuja.
