Description of Purchase Order ScopeThis Purchase Order is formally issued by Islamabad Automotive Industries (Pvt.) Ltd., a registered manufacturing entity operating in Pakistan Islamabad, to engage the professional services of a qualified Automotive Engineer and associated technical team for the design, development, testing, and quality assurance of next-generation vehicle powertrain systems. This Purchase Order governs all terms, conditions, deliverables, and financial arrangements between the two parties for the procurement of specialized Automotive Engineer consultancy services to be executed within the jurisdiction of Pakistan Islamabad.

- Scope of Work: The Automotive Engineer and associated technical personnel shall perform all engineering services as described in this Purchase Order at the buyer's manufacturing facility located in Pakistan Islamabad, specifically at Plot 47-B, Blue Area, Jinnah Avenue. All work shall comply with the Pakistan Standards and Quality Control Authority (PSQCA) regulations and applicable federal engineering standards.
- Delivery Schedule: All engineering deliverables, including design documents, CAD files, test reports, and compliance certifications, shall be submitted in phased milestones as agreed upon in the attached Statement of Work. The final delivery of all Automotive Engineer project outputs shall be completed no later than 15 December 2025.
- Payment Terms: Payment shall be made in three equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the mid-project review milestone, and 30% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the supplier's account registered with the State Bank of Pakistan, Islamabad branch. Payment is due within 30 days of invoice submission.
- Qualifications: The lead Automotive Engineer must hold a minimum of a Bachelor's degree in Mechanical or Automotive Engineering from a recognized institution in Pakistan Islamabad or an internationally accredited university, with a minimum of 10 years of progressive experience in vehicle powertrain and systems engineering. A valid Professional Engineering (PE) license or equivalent registration with the Engineering Council of Pakistan is mandatory.
- Intellectual Property: All designs, drawings, code, documentation, and proprietary knowledge developed under this Purchase Order shall become the exclusive property of Islamabad Automotive Industries (Pvt.) Ltd. upon full payment. The Automotive Engineer and supplier shall not reuse, disclose, or license any project-specific information to third parties without written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, manufacturing processes, and business information exchanged during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall compensate the Automotive Engineer and supplier for all work completed and materials procured up to the date of termination, as documented in a final progress report.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts in Pakistan Islamabad. Mediation through the Islamabad Chamber of Commerce and Industry shall be attempted before any litigation is initiated.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Pakistan Islamabad, or national emergencies, provided that the affected party notifies the other in writing within 72 hours.
- Compliance: The Automotive Engineer and all associated personnel shall comply with all applicable labor laws, safety regulations, and environmental standards enforced by the Pakistan Environmental Protection Agency (PEPA) and the federal government of Pakistan Islamabad throughout the duration of this engagement.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Automotive Engineer professional services to be rendered in Pakistan Islamabad. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
