This Purchase Order is issued by Andina Motors Engineering S.A.C., headquartered in Peru Lima, to formally request the professional services of a qualified Automotive Engineer for the duration of the project described herein. The Automotive Engineer shall be responsible for the design, analysis, prototyping, and quality assurance of next-generation powertrain components for the 2026 model year vehicle line. All work shall be performed at the primary engineering facility located in the district of San Isidro, Peru Lima, and at the secondary testing laboratory in the Callao industrial zone, Peru Lima.

1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the supplier. The supplier must return a signed copy of this Purchase Order to Andina Motors Engineering S.A.C. within five (5) business days of receipt.
2. Performance Period: The Automotive Engineer shall commence services on July 1, 2025, and shall continue through December 31, 2025, unless otherwise extended by mutual written agreement. All deliverables must be completed at the Peru Lima engineering facility or the designated Callao testing laboratory.
3. Payment Terms: Payment shall be made in monthly installments of PEN 45,017.00 (inclusive of IGV), due on the 15th of each month via bank transfer to the supplier's account at Banco de Crédito del Perú, branch Peru Lima. The final payment shall be due within fifteen (15) days of project completion and final acceptance.
4. Qualifications: The Automotive Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering or Automotive Engineering from an accredited Peruvian or international university, possess a valid professional registration with the Colegio de Ingenieros del Perú, and demonstrate a minimum of eight (8) years of experience in powertrain and vehicle systems engineering.
5. Confidentiality: All technical data, proprietary designs, and trade secrets disclosed in connection with this Purchase Order shall remain the exclusive property of Andina Motors Engineering S.A.C. The Automotive Engineer and the supplier agree to maintain strict confidentiality for a period of five (5) years following the termination of services.
6. Compliance with Peruvian Law: This Purchase Order is governed by the laws of the Republic of Peru. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Peru Lima, or alternatively through arbitration at the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the effective date of termination, as calculated under the rates specified in Section 3.
8. Intellectual Property: All work product, designs, simulations, reports, and documentation created by the Automotive Engineer in the performance of this Purchase Order shall be deemed work-for-hire and shall vest exclusively in Andina Motors Engineering S.A.C.
9. Health, Safety & Environment: The Automotive Engineer shall comply with all occupational health and safety regulations established by the Peruvian Ministry of Labor and Employment (MINTRA) and the environmental standards enforced by the Ministry of Environment in Peru Lima.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government decrees, or pandemics affecting operations in Peru Lima.
