This Purchase Order is issued by OOO "AvtoInzheneriya Moskva" (hereinafter referred to as the "Buyer") to OOO "TekhInzh Servis" (hereinafter referred to as the "Seller") for the procurement of specialized professional services rendered by a qualified Automotive Engineer. The scope of this Purchase Order covers the full engagement of an Automotive Engineer to perform design validation, performance testing, and technical consultancy for the Buyer's new-generation compact electric vehicle platform, to be manufactured and assembled at the Buyer's production facility located in the industrial district of Russia Moscow. All deliverables, site visits, and on-site engineering activities under this Purchase Order shall be conducted within the administrative boundaries of Russia Moscow unless otherwise agreed in writing by both parties.

3.1. This Purchase Order is governed by the Civil Code of the Russian Federation and applicable commercial regulations in force in Russia Moscow. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration at the Arbitration Court of Moscow, Russia Moscow.

3.2. The Automotive Engineer assigned to this Purchase Order must hold a minimum of eight (8) years of documented professional experience in automotive powertrain and vehicle systems engineering, possess a valid professional certification recognized by the Russian Ministry of Industry and Trade, and demonstrate prior project experience with electric vehicle platforms. The Seller shall provide the Buyer's procurement department with the Automotive Engineer's curriculum vitae, certification copies, and references no later than five (5) business days from the date of this Purchase Order.

3.3. All on-site work performed by the Automotive Engineer at the Buyer's facility in Russia Moscow shall comply with the Buyer's internal health, safety, and environmental protocols. The Seller is responsible for ensuring the Automotive Engineer wears appropriate personal protective equipment and completes the Buyer's mandatory site induction before commencing any physical work on the production floor.

3.4. The Seller warrants that all deliverables produced under this Purchase Order, including but not limited to engineering reports, simulation data, and technical drawings, shall be original work free from intellectual property infringement. The Automotive Engineer shall sign a non-disclosure agreement (NDA) specific to the Buyer's proprietary vehicle architecture prior to receiving any confidential project data.

3.5. Payment shall be made in Russian Rubles (RUB) via bank transfer to the Seller's designated account. Payment terms: 40% advance upon acceptance of this Purchase Order, 40% upon completion of Items 01 through 04, and 20% upon final acceptance of all deliverables and the Automotive Engineer's written completion certificate. Invoices shall be issued in accordance with Russian Federal Tax Service requirements for transactions conducted in Russia Moscow.

3.6. The Seller shall notify the Buyer in writing within twenty-four (24) hours of any anticipated delay in the Automotive Engineer's availability or any material change to the scope of work defined in this Purchase Order. Delays exceeding ten (10) business days without written justification shall entitle the Buyer to terminate this Purchase Order with a pro-rata refund of all pre-paid amounts.

3.7. Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or sanctions-related restrictions affecting operations in Russia Moscow, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within seventy-two (72) hours of the event's onset.

All physical deliverables (printed documentation, test specimens, calibration certificates) shall be delivered to the Buyer's receiving department at 12, Leninsky Prospekt, Building 4, Moscow, Russia Moscow, no later than the dates specified in the project schedule annexed to this Purchase Order. The Buyer shall have ten (10) business days from the date of delivery to inspect and formally accept or reject each deliverable. Rejection must be communicated in writing with specific, itemized reasons. The Automotive Engineer shall be available to address any rejection comments within five (5) business days at no additional cost to the Buyer.
