This Purchase Order is issued by Baltika Automotive Engineering Solutions LLC (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of specialized Automotive Engineer professional services to be rendered at the Buyer's principal facility located in Russia Saint Petersburg. This document constitutes a binding commercial agreement between the parties upon countersignature and shall govern all terms, conditions, deliverables, and financial obligations associated with the engagement of qualified Automotive Engineer personnel for the duration specified herein.

1. Scope of Work: The Supplier shall provide qualified Automotive Engineer professionals with a minimum of five (5) years of relevant industry experience in automotive design, manufacturing, or testing. All Automotive Engineer personnel shall be physically present at the Buyer's facility in Russia Saint Petersburg during standard business hours (09:00–18:00, Monday through Friday) for the full contract duration of six (6) months commencing 1 July 2025.
2. Payment Terms: Payment shall be made in three (3) equal installments of 3,676,000.00 RUB (inclusive of VAT) via bank transfer to the Supplier's designated account. The first installment is due within fifteen (15) business days of the effective date of this Purchase Order. The second installment is due at the midpoint of the engagement (1 January 2026). The final installment is due within ten (10) business days following successful completion and acceptance of all deliverables.
3. Deliverables and Acceptance: All engineering deliverables, including but not limited to design documentation, simulation reports, test protocols, and compliance certificates, shall be submitted to the Buyer's technical review board in Russia Saint Petersburg no later than the dates specified in the attached Project Schedule (Annex A). Acceptance shall be confirmed in writing by the Buyer's Chief Engineer within ten (10) business days of submission.
4. Confidentiality and Intellectual Property: All proprietary data, design files, and technical information exchanged in connection with this Purchase Order shall be treated as strictly confidential. The Supplier's Automotive Engineer personnel shall sign individual Non-Disclosure Agreements (NDAs) prior to commencing work in Russia Saint Petersburg. All intellectual property created specifically for the Buyer under this engagement shall vest exclusively in the Buyer upon full payment.
5. Compliance and Regulatory Adherence: The Supplier warrants that all Automotive Engineer services shall comply with applicable Russian Federation legislation, including but not limited to Federal Law No. 184-FZ on Technical Regulation, GOST R standards, and all local labor regulations governing the employment and engagement of technical specialists in Russia Saint Petersburg.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable for all services rendered and expenses incurred up to the effective date of termination. The Supplier shall ensure an orderly transition of all Automotive Engineer work-in-progress to the Buyer or a designated successor within the notice period.
7. Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the Arbitration Court of the City of Russia Saint Petersburg in accordance with the applicable procedural rules of the Russian Federation.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. The place of performance and execution of all obligations herein is Russia Saint Petersburg.
Authorization and SignaturesBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Automotive Engineer services in Russia Saint Petersburg. This document is executed in two (2) original copies, one for each party, both of which carry equal legal force.
