The Automotive Engineer shall be responsible for overseeing the design optimization, quality assurance, and production line efficiency of our vehicle assembly operations in the Plateau industrial district of Senegal Dakar. This Purchase Order constitutes a binding commitment to procure the professional services described herein in accordance with the terms and conditions outlined below.

1. This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Senegal, particularly the Senegalese Commercial Code and applicable labor regulations pertaining to the engagement of an Automotive Engineer in the industrial zone of Senegal Dakar.
2. The Automotive Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Automotive Engineering or Mechanical Engineering, with a minimum of eight (8) years of progressive experience in vehicle design, manufacturing, or quality assurance within the automotive sector.
3. All work related to this Purchase Order shall be performed at the buyer's facility situated at Zone Industrielle de la Zone Portuaire, Senegal Dakar, unless otherwise agreed in writing by both parties.
4. Payment shall be made in monthly installments via bank transfer to the account specified in Section 1, within fifteen (15) business days of receipt of an approved invoice. The total value of this Purchase Order is twenty-one million seven hundred and seventy-one thousand CFA Francs (XOF 21,771,000).
5. The Automotive Engineer shall comply with all health, safety, and environmental regulations applicable to industrial operations in Senegal Dakar, including those enforced by the Direction de l'Environnement et de la Lutte contre les Changements Climatiques (DELCC).
6. Any modification, extension, or cancellation of this Purchase Order must be documented in a written amendment signed by authorized representatives of both parties. Verbal agreements regarding the scope of the Automotive Engineer's duties shall not be binding.
7. The vendor warrants that the Automotive Engineer assigned to this Purchase Order shall not be under any conflicting contractual obligation and shall dedicate full professional attention to the projects in Senegal Dakar during the engagement period.
8. Confidentiality: All proprietary designs, manufacturing processes, and technical data shared with the Automotive Engineer in the course of this Purchase Order shall remain the exclusive property of Sahel Automotive Engineering Group. A Non-Disclosure Agreement (NDA) must be executed prior to the commencement of work in Senegal Dakar.
9. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Dakar, Senegal.
10. This Purchase Order becomes effective upon signature by both parties and remains valid for the duration specified in Section 3, unless terminated earlier in accordance with the termination clause.
