This Purchase Order is issued by the Buyer to procure the professional services of a qualified Automotive Engineer to be deployed and perform duties within the metropolitan area of South Korea Seoul. The Automotive Engineer shall be responsible for the design validation, performance testing, and regulatory compliance review of next-generation hybrid powertrain systems for the Buyer's 2027 model-year vehicle platform. All work associated with this Purchase Order shall be conducted at the Buyer's primary engineering facility located in Mapo-gu, Seoul, South Korea, unless otherwise directed in writing by the Buyer's project manager.

The Automotive Engineer engaged under this Purchase Order must hold a minimum of eight (8) years of progressive experience in automotive powertrain engineering, possess a valid South Korea professional engineering license (Korea Engineering Society certification), and demonstrate proficiency in CATIA V6, ANSYS Fluent, and MATLAB/Simulink. The engineer shall report directly to the Buyer's Chief Powertrain Architect and shall adhere to all internal quality management standards aligned with ISO 26262 (Functional Safety) and IATF 16949 requirements.

1. Commencement Date: The services described in this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to mutual written agreement for extension. All on-site work shall be performed in South Korea Seoul during standard business hours (09:00–18:00 KST, Monday through Friday).
2. Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of a valid invoice from the Supplier. The first invoice shall be issued upon successful onboarding and first-week performance review of the Automotive Engineer. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under the Korean Commercial Act.
3. Performance Standards: The Automotive Engineer shall deliver all engineering deliverables, including design documents, simulation reports, test data packages, and compliance filings, in accordance with the project schedule attached hereto as Appendix A. Failure to meet critical milestones for two consecutive reporting periods shall constitute material breach of this Purchase Order.
4. Confidentiality & IP: All intellectual property, trade secrets, and proprietary data generated or accessed during the performance of this Purchase Order shall remain the sole property of the Buyer. The Automotive Engineer and the Supplier shall execute a separate Non-Disclosure Agreement (NDA) prior to commencement, governed by the laws of the Republic of Korea.
5. Compliance with Local Law: The Supplier warrants that the Automotive Engineer engaged under this Purchase Order holds all necessary work permits, visa status, and professional registrations required to legally perform engineering services in South Korea Seoul. The Supplier shall bear full responsibility for any violations of Korean labor, immigration, or professional licensing regulations.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the effective date of termination. In the event of termination for cause, the Supplier shall be liable for any direct damages incurred by the Buyer.
7. Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising hereunder shall be resolved through binding arbitration administered by the Korean Commercial Arbitration Board (KCAB) in Seoul, South Korea.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Seoul, or pandemics, provided that the affected party notifies the other within five (5) business days.

The Automotive Engineer shall report to the Buyer's facility in Mapo-gu, South Korea Seoul, on the first business day of the contract period. Acceptance of services shall be confirmed in writing by the Buyer's Project Director following a 30-day probationary evaluation period. The Supplier shall provide a replacement Automotive Engineer of equivalent or superior qualification within ten (10) business days should the Buyer determine, in its reasonable discretion, that the assigned engineer is not performing to the standards outlined in this Purchase Order.
