This Purchase Order is issued by Alpine Mobility Solutions AG to formally request and authorize the engagement of a qualified Automotive Engineer to provide specialized technical services in support of our next-generation electric vehicle platform development programme. The Automotive Engineer shall be based and perform all duties within the metropolitan area of Switzerland Zurich, specifically at our principal engineering facility located at Bahnhofstrasse 142, 8001 Switzerland Zurich. The scope of work encompasses powertrain architecture design, thermal management system optimization, vehicle dynamics simulation, and compliance with Swiss and European automotive regulatory standards (ECE R100, UN ECE regulations, and Swiss Federal Office of Transport requirements).

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Swiss Code of Obligations (OR) and applicable federal law of Switzerland. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Switzerland Zurich.
- Performance Location: All services rendered by the Automotive Engineer shall be performed at the Buyer's premises in Switzerland Zurich or at mutually agreed alternative locations within the canton of Zurich, Switzerland. The Automotive Engineer shall comply with all site safety protocols and Swiss occupational health and safety regulations (ArG).
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within 30 calendar days of receipt of a valid invoice via bank transfer to the account specified by the Supplier. Late payments shall accrue interest at the Swiss National Bank reference rate plus 2% per annum.
- Intellectual Property: All designs, simulations, calculations, and documentation produced by the Automotive Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Alpine Mobility Solutions AG. The Supplier warrants that no third-party intellectual property rights shall be infringed.
- Confidentiality: The Automotive Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed under this Purchase Order. This obligation shall survive termination for a period of five (5) years.
- Substitution: The Supplier shall not substitute the assigned Automotive Engineer without prior written consent from the Buyer. Any proposed replacement must hold equivalent qualifications, including a minimum of eight (8) years of experience in automotive powertrain or EV systems engineering.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of CHF 5,000,000 per occurrence, valid throughout the territory of Switzerland, and shall provide a certificate upon request.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Switzerland Zurich.
- Compliance: The Automotive Engineer shall comply with all applicable Swiss labour laws, data protection regulations (FADP/revised nFADP), and anti-corruption statutes. The Supplier warrants full compliance with Swiss and EU automotive type-approval requirements relevant to the project scope.
All deliverables, including engineering drawings, simulation reports, test protocols, and compliance documentation, shall be submitted to the Buyer's project management office in Switzerland Zurich in both digital (PDF/A and native CAD/CAE formats) and, where required, hard-copy form. The Buyer shall have fifteen (15) business days from receipt to inspect and accept or reject each deliverable. Rejection must be accompanied by a written statement of non-conformity. The Automotive Engineer shall rectify any non-conformities at no additional cost within ten (10) business days of notification.
This Purchase Order becomes effective upon signature by both parties. By signing below, the parties acknowledge and agree to all terms, conditions, and specifications set forth in this document regarding the engagement of the Automotive Engineer for services to be performed in Switzerland Zurich.
