- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the provision of Automotive Engineer professional services within the jurisdiction of Tanzania Dar es Salaam, United Republic of Tanzania.
- The Automotive Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor's degree in Automotive or Mechanical Engineering from a recognized institution and possess at least eight (8) years of relevant industry experience in vehicle design, manufacturing, or quality assurance.
- All services shall be performed in compliance with the laws of the United Republic of Tanzania, including but not limited to the Tanzania National Bureau of Standards (TBS) regulations, the Tanzania Revenue Authority (TRA) tax obligations, and the Tanzania Dar es Salaam City Council operational permits.
- Payment shall be made within thirty (30) calendar days from the date of invoice submission. Late payments shall attract interest at the rate of 2% per month as stipulated under Tanzanian commercial law.
- The Supplier shall provide a dedicated Automotive Engineer who shall be physically present at the Tanzania Dar es Salaam assembly facility for a minimum of five (5) working days per week during active project phases.
- All intellectual property, engineering drawings, and technical documentation produced under this Purchase Order shall remain the exclusive property of East African Automotive Industries Ltd. upon full payment.
- The Supplier shall maintain professional indemnity insurance with a minimum coverage of TZS 500,000,000, valid throughout the duration of this Purchase Order.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all completed Automotive Engineer services shall be invoiced and settled in full.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Tanzania Dar es Salaam in accordance with the Arbitration Act of Tanzania, Cap. 23 of the Laws of Tanzania.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the United Republic of Tanzania.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Automotive Engineer services in Tanzania Dar es Salaam.
