This Purchase Order is issued by Siam Automotive Solutions Co., Ltd. to Global Automotive Engineering Consultants (Thailand) Ltd. for the procurement of specialized Automotive Engineer professional services to be performed at the buyer’s manufacturing and R&D facility located in Thailand Bangkok. The scope of this Purchase Order encompasses the engagement of a senior Automotive Engineer to provide comprehensive technical consulting, design validation, quality assurance, and production line optimization services for the buyer’s next-generation electric vehicle (EV) platform. All deliverables under this Purchase Order shall be executed in accordance with the specifications outlined in Annex A attached hereto and shall comply with all applicable regulations of the Department of Industrial Works, Ministry of Industry, Thailand, as well as the standards set forth by the Thailand Automotive Institute (TAI) operating out of Bangkok.

1. This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute.
2. The Automotive Engineer assigned under this Purchase Order must hold a minimum of ten (10) years of professional experience in automotive design, manufacturing, or quality engineering, and must possess a valid professional engineering license recognized by the Council of Engineers, Thailand.
3. All work performed under this Purchase Order shall take place at the buyer’s facility in Thailand Bangkok unless otherwise agreed in writing. The Automotive Engineer shall comply with all site safety protocols, including but not limited to the Occupational Safety and Health Act B.E. 2554 (2011) of Thailand.
4. The supplier shall provide a replacement Automotive Engineer of equivalent or superior qualifications within five (5) business days should the originally assigned engineer become unavailable for any reason. This Purchase Order shall remain in full force and effect upon such substitution.
5. Payment under this Purchase Order shall be made via bank transfer to the supplier’s designated account in Bangkok, Thailand, within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Thai commercial law.
6. The Automotive Engineer shall deliver monthly progress reports to the buyer’s project management office in Bangkok, Thailand, no later than the fifth (5th) business day of each subsequent month. Failure to submit reports for two consecutive months shall constitute a material breach of this Purchase Order.
7. All intellectual property, design documents, simulation data, and technical reports generated by the Automotive Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of Siam Automotive Solutions Co., Ltd.
8. This Purchase Order may be terminated by either party with sixty (60) days’ written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination as documented in the final Automotive Engineer progress report.
9. The supplier warrants that the Automotive Engineer engaged under this Purchase Order shall not be subject to any non-compete or confidentiality obligations that would restrict the performance of services for the buyer in Thailand Bangkok.
10. All communications regarding this Purchase Order shall be conducted in English or Thai. In the event of any discrepancy between language versions, the English version shall prevail.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Automotive Engineer services in Thailand Bangkok. This Purchase Order becomes effective upon the date of the last signature below.
