1. Purpose of This Purchase Order
This Purchase Order is issued by Anadolu Automotive Systems A.Ş. to formally request and authorize the procurement of specialized Automotive Engineer professional services to be rendered in Turkey Ankara. The scope of this Purchase Order covers the engagement of a qualified Automotive Engineer to provide technical consultancy, design review, and performance optimization services for the buyer's new-generation electric vehicle platform currently under development at the Turkey Ankara manufacturing facility. This Purchase Order constitutes a binding procurement document in accordance with the Turkish Commercial Code (Türk Ticaret Kanunu) and applicable regulations of the Republic of Turkey.
2. Scope of Services – Automotive Engineer Engagement
The Automotive Engineer engaged under this Purchase Order shall perform the following duties at the buyer's premises located in Turkey Ankara:
- Conduct comprehensive design validation and verification of the EV powertrain architecture, including battery management system integration and thermal management optimization.
- Perform structural analysis and finite element modeling (FEM) of chassis components to ensure compliance with ECE R94 and ECE R95 crash safety standards applicable in Turkey Ankara regulatory jurisdiction.
- Provide ongoing technical supervision of the prototype assembly line at the Ostim industrial zone facility in Turkey Ankara, ensuring that all manufacturing tolerances meet the Automotive Engineer's specified engineering parameters.
- Prepare detailed engineering reports, test protocols, and compliance documentation in both Turkish and English for submission to the Turkish Ministry of Industry and Technology.
- Coordinate with the buyer's internal R&D team in Turkey Ankara to resolve engineering discrepancies and implement corrective actions within agreed timelines.

4. Payment Terms
Payment for the services described in this Purchase Order shall be made by bank transfer to the Seller's designated account in Turkey Ankara. The payment schedule is as follows: thirty percent (30%) upon execution of this Purchase Order, forty percent (40%) upon completion of the mid-project milestone review conducted in Turkey Ankara, and the remaining thirty percent (30%) upon final acceptance and delivery of all engineering deliverables. All payments are subject to the presentation of a valid invoice (fatura) compliant with the Turkish Revenue Administration (Gelir İdaresi Başkanlığı) requirements. Late payments shall accrue interest at the statutory rate determined by the Central Bank of the Republic of Turkey.
5. Terms and Conditions
- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts in Turkey Ankara.
- The Automotive Engineer engaged under this Purchase Order shall maintain full professional liability insurance and shall indemnify the Buyer against any claims arising from negligence or professional malpractice during the performance of services in Turkey Ankara.
- All intellectual property, design documents, and engineering data produced by the Automotive Engineer in the course of fulfilling this Purchase Order shall remain the exclusive property of the Buyer. The Automotive Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work at the Turkey Ankara facility.
- The Seller warrants that the Automotive Engineer assigned to this Purchase Order holds a valid engineering license (Mühendislik Sicil Belgesi) issued by the relevant Turkish professional chamber (TMMOB Makine Mühendisleri Odası or TMMOB Elektrik Mühendisleri Odası) and possesses a minimum of ten (10) years of experience in automotive engineering.
- The performance period for this Purchase Order shall commence on 1 July 2025 and shall conclude on 31 December 2025, unless extended by mutual written agreement of both parties. All services shall be physically performed at the Buyer's premises in Turkey Ankara unless otherwise specified in writing.
- Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party. Upon termination, the Buyer shall pay for all services rendered up to the date of termination.
- This Purchase Order does not create an employment relationship between the Buyer and the Automotive Engineer. The Automotive Engineer is engaged as an independent professional consultant through the Seller entity.
6. Acceptance and Authorization
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Automotive Engineer services to be performed in Turkey Ankara. This Purchase Order becomes effective upon the last signature.
