1. SCOPE OF ENGAGEMENT

This Purchase Order is issued by Harare Automotive Solutions (Pvt) Ltd to Moyo & Partners Engineering Consultants for the professional engagement of a qualified Automotive Engineer to provide comprehensive technical consultancy, design oversight, and quality assurance services for the new vehicle assembly and testing facility located in Zimbabwe Harare. The Automotive Engineer shall be responsible for the full lifecycle management of the project, including but not limited to: initial feasibility studies, mechanical and electrical system design reviews, production line layout optimization, quality control protocol development, and final commissioning of all automotive manufacturing equipment. All services shall be rendered in accordance with the standards set by the Zimbabwe National Standards Authority (ZANAS) and applicable international automotive engineering benchmarks.

1. Delivery of Services: The Automotive Engineer shall commence all services no later than 1 July 2025 and shall complete all deliverables within a period of twelve (12) weeks from the commencement date. All on-site work shall be conducted at the Buyer's facility in Zimbabwe Harare, Borrowdale Industrial Zone.
2. Payment Terms: Payment shall be made in three (3) equal instalments: 30% upon signing of this Purchase Order, 40% upon completion of the design review and layout optimization phases, and 30% upon final acceptance and commissioning sign-off. All payments shall be made via bank transfer to the Seller's designated account within Zimbabwe Harare.
3. Qualifications: The Automotive Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Automotive Engineering or Mechanical Engineering, be registered with the Engineering Institute of Zimbabwe (EIZ), and possess a minimum of eight (8) years of relevant industry experience in vehicle manufacturing or assembly operations.
4. Compliance: All services rendered by the Automotive Engineer shall comply with the laws of the Republic of Zimbabwe, including the Zimbabwe National Standards Authority regulations, the Occupational Safety and Health Act (Chapter 14:07), and all applicable environmental regulations enforced in Zimbabwe Harare.
5. Intellectual Property: All designs, reports, and technical documentation produced by the Automotive Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Seller shall not reproduce or distribute any such materials without prior written consent.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement in Zimbabwe Harare. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall be compensated for all services rendered up to the date of termination, and the Automotive Engineer shall deliver all work-in-progress documentation to the Buyer.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to arbitration in Zimbabwe Harare in accordance with the Arbitration Act of Zimbabwe (Chapter 7:15).
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. The courts of Zimbabwe Harare shall have exclusive jurisdiction over any legal proceedings arising hereunder.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting operations in Zimbabwe Harare.
