Terms and Conditions – Purchase Order for Baker Products in Rio de Janeiro, Brazil
- Payment Terms: Net 45 days from the date of invoice issuance. Payment shall be made via bank transfer (TED/PIX) to the supplier's account in Brazil. The total amount of R$ 847,376.00 (Eight Hundred Forty-Seven Thousand Three Hundred Seventy-Six Brazilian Reais) is due no later than August 15, 2025.
- Delivery Terms: All Baker products and equipment shall be delivered to the Baker Industries Ltda. warehouse located in Duque de Caxias, Rio de Janeiro, Brazil, within the specified delivery window of June 28 to July 05, 2025. Delivery is FOB Rio de Janeiro port/warehouse. The supplier is responsible for all transportation, handling, and insurance costs within the state of Rio de Janeiro.
- Quality Assurance: All Baker-branded items must comply with ANVISA (Brazilian Health Regulatory Agency) standards and CONAB (National Supply Company) quality specifications. The supplier guarantees that all Baker baking equipment is new, unused, and carries a minimum 24-month manufacturer warranty valid in Brazil.
- Installation: Baker Premium Supplies & Equipment Co. shall provide full installation, calibration, and operator training for all Baker ovens, mixers, proofing chambers, and cold storage units at the Rio de Janeiro facility. Installation must be completed within 10 business days of delivery.
- Warranty & After-Sales: The Baker maintenance kit (Item 010) covers one full year of preventive maintenance visits, spare parts, and technical support for all Baker equipment installed in Rio de Janeiro. Response time for service calls shall not exceed 48 hours.
- Compliance: This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this Baker product order shall be resolved in the courts of Rio de Janeiro, RJ, Brazil. All transactions comply with Brazilian tax regulations, including ICMS, IPI, and ISS as applicable in the state of Rio de Janeiro.
- Acceptance: Baker Industries Ltda. reserves the right to inspect all delivered Baker goods upon arrival at the Rio de Janeiro warehouse. Any discrepancies, damages, or non-conformities must be reported within 5 business days of delivery. Rejected items will be replaced at the supplier's expense within 15 business days.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, port closures in Rio de Janeiro, or other events beyond reasonable control, provided written notice is given within 72 hours of the event.
