- Delivery: All Baker equipment and materials shall be delivered DDP to the Buyer's facility located at No. 88 Chaoyang Road, Chaoyang District, China Beijing. The Seller, Baker Precision Manufacturing GmbH, assumes full responsibility for international shipping, customs clearance in China Beijing, import duties, and final delivery to the designated site. Estimated delivery date is August 15, 2025.
- Payment Terms: 30% advance payment upon confirmation of this Purchase Order, 50% upon shipment confirmation with bill of lading, and 20% upon successful commissioning and acceptance at the China Beijing facility. All payments shall be made via irrevocable letter of credit issued by a bank recognized in China Beijing.
- Warranty: Baker Precision Manufacturing GmbH provides a comprehensive 24-month warranty on all Baker equipment listed in this Purchase Order. The warranty covers defects in materials and workmanship. Warranty service in China Beijing shall be provided through Baker's authorized local service partner or by direct dispatch of Baker technicians from Munich.
- Compliance: All Baker products must comply with the national standards of the People's Republic of China, including CCC (China Compulsory Certification) for electrical equipment, GB 4706 for household and similar electrical appliances, and local food safety regulations applicable in China Beijing. The Seller shall provide all necessary certification documents prior to shipment.
- Inspection: The Buyer reserves the right to conduct a pre-shipment inspection at the Seller's facility in Munich and a post-delivery inspection at the China Beijing site. Any non-conforming Baker equipment shall be replaced or repaired at the Seller's sole expense within 30 calendar days of notification.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, trade restrictions affecting shipments to China Beijing, or pandemics. Affected parties must notify the other within 72 hours of occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Beijing, China, under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
- Intellectual Property: All Baker brand names, trademarks, and proprietary designs referenced in this Purchase Order remain the exclusive property of Baker Precision Manufacturing GmbH. The Buyer is granted a limited, non-transferable license to use Baker branding solely for the operation and maintenance of the purchased equipment in China Beijing.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and technical specifications contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent, except as required by law or regulatory authorities in China Beijing.
This Purchase Order is issued by Baker Industrial Solutions Co., Ltd. for the procurement of specialized Baker bakery and food-processing equipment intended for installation and operation at the company's new production facility in China Beijing. The selected Baker product line has been specifically evaluated for compatibility with the local power grid (380V/50Hz three-phase), ambient temperature ranges, and humidity conditions characteristic of the China Beijing region. All Baker equipment documentation, user manuals, and safety instructions shall be provided in both English and Simplified Chinese to ensure full compliance with local labor and safety regulations in China Beijing.
This document constitutes a binding Purchase Order upon signature by both authorized representatives. Any amendments to this Purchase Order must be made in writing and signed by both parties. This Purchase Order is valid for a period of 30 days from the date of issue.
