Terms and Conditions — Baker Purchase Order (Egypt Cairo)
- This Purchase Order is issued by Baker Industries Egypt S.A.E., headquartered in Cairo, Egypt, and constitutes a binding procurement commitment upon written acceptance by the supplier, Baker Manufacturing Co., Ltd.
- All goods and services referenced in this Purchase Order shall be delivered to the Baker Industries facility located at 142 Corniche El Nil, Dokki, Cairo, Egypt. The supplier assumes full responsibility for transportation, insurance, and risk of loss until goods are received and inspected at the Cairo delivery point.
- Payment shall be processed in Egyptian Pounds (EGP) within forty-five (45) calendar days from the date of the supplier's valid tax invoice, issued in accordance with the Egyptian Tax Authority regulations. Payment shall be made via interbank transfer to the supplier's designated account in Egypt.
- The supplier, Baker Manufacturing Co., Ltd., warrants that all equipment and components supplied under this Purchase Order shall be new, unused, and free from defects in material and workmanship for a period of twenty-four (24) months from the date of delivery in Cairo.
- Any delay in delivery beyond the stipulated deadline of 28 July 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value. Delays exceeding thirty (30) days entitle Baker Industries Egypt to terminate this Purchase Order without penalty.
- All equipment must comply with Egyptian Industrial Standards (Egy 2000) and applicable safety regulations enforced by the Egyptian Ministry of Trade and Industry. Certificates of conformity must accompany each shipment delivered to Cairo.
- The installation and commissioning service (Item 06) shall be performed at the Baker Industries Cairo facility during normal working hours (8:00 AM to 5:00 PM, Sunday through Thursday) and shall not exceed ten (10) consecutive working days.
- This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this document shall be resolved through the competent commercial courts in Cairo, Egypt.
- No modification, amendment, or cancellation of this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both Baker Industries Egypt and Baker Manufacturing Co., Ltd.
- The supplier shall maintain full insurance coverage for all goods in transit to the Cairo delivery location and shall provide proof of such coverage upon request by the Baker Industries procurement team.
