4. Delivery and Logistics

This Purchase Order mandates the delivery of all listed bakery products from the Baker's production facility located at 18 Quai Saint-Antoine, France Lyon, to the Buyer's distribution warehouse at 42 Rue de la République, 69002 France Lyon. All deliveries shall be made within the same metropolitan area of France Lyon, ensuring a maximum transit time of four (4) hours from the moment the Baker completes the final baking cycle. The Baker is responsible for maintaining a cold-chain temperature between 2°C and 6°C for all perishable items during transit. Delivery windows are scheduled between 04:00 and 07:00 CET, Monday through Saturday, to guarantee freshness upon arrival at the Buyer's France Lyon premises. The Baker shall provide a signed delivery note and a batch traceability certificate for every consignment.

5. Terms and Conditions

This Purchase Order constitutes a binding agreement between the Buyer and the Baker for the supply of artisanal bakery products as specified herein. Both parties acknowledge that the Baker operates under the regulatory framework of France Lyon and complies with all applicable French food safety standards (DGCCRF) and EU Regulation 852/2004.
The Baker warrants that all products listed in this Purchase Order shall be produced fresh on the day of delivery, using ingredients sourced from certified suppliers within the Auvergne-Rhône-Alpes region of France. No product older than twenty-four (24) hours shall be included in any delivery under this Purchase Order.
Payment shall be made via SEPA bank transfer to the Baker's designated account within thirty (30) calendar days of the invoice date. Late payments shall incur interest at a rate of 1.5% per month, in accordance with French commercial law applicable in France Lyon.
The Buyer reserves the right to inspect all goods upon receipt at the France Lyon delivery point. Any items found to be damaged, expired, or not conforming to the specifications stated in this Purchase Order must be reported to the Baker within six (6) hours of delivery. The Baker shall replace non-conforming items at no additional cost within the next scheduled delivery.
Either party may terminate this Purchase Order with a written notice of fourteen (14) days. In the event of termination, the Baker shall fulfil all orders already confirmed and scheduled for delivery prior to the effective date of termination.
All disputes arising from this Purchase Order shall be resolved through the commercial courts of France Lyon (Tribunal de Commerce de Lyon). The governing law is French law.
The Baker shall maintain valid professional liability insurance and food safety certification (HACCP) throughout the duration of this Purchase Order. Copies of current certificates shall be provided to the Buyer upon request.
Prices stated in this Purchase Order are fixed for a period of ninety (90) days from the date of issue. Any subsequent price adjustments by the Baker must be communicated in writing at least thirty (30) days in advance and are subject to the Buyer's written acceptance.
