This Purchase Order is issued for delivery to the buyer's premises located in Munich, Germany, at the address specified above. Baker GmbH & Co. KG shall arrange all transportation, insurance, and customs clearance (if applicable) in accordance with the DAP Munich Incoterms 2020 rules. The estimated delivery window is 20 to 28 business days from the date of this Purchase Order. All goods must be delivered in their original, undamaged packaging. Baker is responsible for any transit damage occurring prior to the point of delivery in Munich. The installation and training service (Item 7) shall be scheduled within five business days of equipment delivery and must be completed at the Munich site.
Payment shall be made via SEPA bank transfer to the account designated by Baker GmbH & Co. KG. The payment schedule is as follows: 30% advance payment (€ 23,924.36) due within 10 business days of Purchase Order acceptance; 60% upon delivery and acceptance (€ 47,848.71) due within 30 days of the delivery note; and 10% final payment (€ 7,974.79) due within 45 days of completion of installation and training. Late payments shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB), plus one percentage point for commercial transactions. All amounts are stated in Euros (EUR) and are subject to the 19% German Value Added Tax (Umsatzsteuer).
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Baker GmbH & Co. KG warrants that all goods supplied under this Purchase Order are new, free from defects, and conform to the specifications outlined in the attached technical data sheets. The statutory warranty period under German law (Sachmängelhaftung, § 437 BGB) applies in full.
- All products bearing the Baker brand name comply with applicable European Union directives, including the Machinery Directive 2006/42/EC, the Food Contact Materials Regulation (EC) No 1935/2004, and the EU Organic Regulation (EU) 2018/848 where applicable.
- The buyer reserves the right to inspect all goods upon arrival in Munich. Any visible damage or quantity discrepancies must be reported to Baker within 48 hours of delivery. Hidden defects must be reported within 14 days of discovery.
- Baker shall provide a minimum 24-month warranty on all mechanical and electrical components. Consumable items (flour, yeast, trays) carry a 6-month quality guarantee from the date of manufacture.
- Force majeure events, as defined under § 275 BGB, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 5 business days.
- This Purchase Order constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior negotiations, representations, or agreements. Any amendments must be made in writing and signed by both parties.
- Confidentiality: Both parties agree to treat all commercial terms, pricing, and technical information exchanged in connection with this Purchase Order as strictly confidential for a period of three (3) years.
- Environmental compliance: Baker guarantees that all packaging materials used for shipment to Munich are recyclable and comply with the German Packaging Act (Verpackungsgesetz, VerpackG) and the dual system registration requirements.
