All Baker equipment and materials referenced in this Purchase Order shall be delivered to the buyer's premises at 42 Dizengoff Street, Tel Aviv-Yafo, Israel 6310501. Delivery is scheduled no later than 28 June 2025. Baker Industrial Solutions Ltd. shall bear all transportation, insurance, and handling costs up to the point of delivery in Tel Aviv, in accordance with DDP (Delivered Duty Paid) terms. The buyer shall ensure that the receiving area is prepared and accessible for Baker's installation team. A minimum of 48 hours' written notice of the delivery date shall be provided by Baker to the buyer's procurement office in Tel Aviv.
- This Purchase Order constitutes a binding agreement between Levant Hospitality Group Ltd. (Buyer) and Baker Industrial Solutions Ltd. (Supplier) for the procurement of commercial baking equipment and associated services in Tel Aviv, Israel.
- All Baker products supplied under this Purchase Order shall conform to the specifications outlined above and shall comply with all applicable Israeli Standards (SII) and food safety regulations enforced by the Ministry of Health, State of Israel.
- Payment shall be made via bank transfer to Baker Industrial Solutions Ltd.'s designated account within 45 calendar days from the date of invoice issuance. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (Hokhach Ha'Avoda).
- Baker Industrial Solutions Ltd. shall provide a minimum 24-month warranty on all Baker equipment listed in this Purchase Order, covering defects in materials and workmanship. Warranty service shall be performed at the buyer's Tel Aviv facility at no additional cost.
- The buyer reserves the right to inspect all Baker goods upon delivery in Tel Aviv. Any discrepancies, damage, or non-conformity must be reported in writing to Baker within 5 business days of receipt. Baker shall rectify or replace non-conforming items within 10 business days.
- This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. Baker shall not subcontract any portion of the installation or training services without the buyer's approval.
- All communications regarding this Purchase Order shall be directed to the contacts listed above. Electronic communication via email shall be deemed valid for all notices, amendments, and confirmations related to this Baker procurement in Tel Aviv.
