Terms and Conditions – Baker, Japan Kyoto
- This Purchase Order is issued by Baker Co., Ltd., a registered bakery and artisan food producer operating in Japan Kyoto, specifically within the Higashiyama-ku district. All goods listed herein are intended for use in Baker's production facilities and retail locations within the Kyoto metropolitan area.
- The vendor shall deliver all items to Baker's primary workshop at 42-7 Gionmachi, Higashiyama-ku, Kyoto, Japan. Delivery must be completed no later than the required delivery date stated above. Late delivery beyond five (5) business days entitles Baker to a 2% discount per week of delay.
- All equipment must comply with Japan's Food Sanitation Act and the applicable safety standards set by the Japan Electrical Safety and Environment Technology Laboratories (JET). Baker reserves the right to inspect and reject any item that does not meet these regulatory requirements for use in Japan Kyoto food production.
- Payment shall be made via bank transfer to the vendor's designated account within thirty (30) days of receipt of a valid invoice. Baker's accounts payable department in Kyoto will process the payment in Japanese Yen (JPY).
- Warranty: All mechanical and electrical equipment carries a minimum two-year manufacturer warranty. Baker expects the vendor to coordinate any warranty repairs through local service partners in Japan Kyoto to minimize downtime in Baker's production schedule.
- This Purchase Order is governed by the laws of Japan. Any disputes arising from this document shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
- Baker Co., Ltd. reserves the right to modify, cancel, or amend this Purchase Order in writing prior to the vendor's confirmation of order acceptance. No verbal agreements shall be binding.
