4.1 Delivery: All items listed in this Purchase Order shall be delivered to the Al-Nakheel Hospitality Group kitchen facility at Al-Salimiyah, Kuwait, Kuwait City, no later than 28 June 2025. Baker International Trading & Baking Solutions FZE shall bear all transportation costs within Kuwait City and the surrounding governorates.
4.2 Payment Terms: Payment shall be made within 30 days of the date of invoice issuance, via bank transfer to the account designated by Baker. A 2% late payment penalty shall apply per week of delay, in accordance with Kuwaiti commercial law.
4.3 Quality Assurance: Baker guarantees that all equipment and consumables supplied under this Purchase Order meet or exceed the specifications stated in the technical annex. A 24-month warranty is included on all mechanical and electrical units. Any defective items must be reported within 14 days of delivery.
4.4 Installation & Training: Baker's certified technical team shall perform on-site installation of all major equipment at the Kuwait City location. A minimum of two (2) full-day training sessions for Al-Nakheel staff shall be conducted by Baker engineers prior to the handover date.
4.5 Cancellation & Modification: This Purchase Order may be modified or cancelled only by mutual written agreement between both parties. Cancellation after the 7-day acknowledgment period shall incur a 10% penalty fee on the total Purchase Order value.
4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes shall be resolved through the competent courts in Kuwait City.
4.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Kuwait market.
5. Authorization & AcceptanceBy signing below, both parties acknowledge and agree to all terms, conditions, and itemizations set forth in this Purchase Order. This document constitutes a binding commercial agreement between the Buyer and Baker International Trading & Baking Solutions FZE for the procurement of baking equipment and supplies in Kuwait, Kuwait City.
