Terms and Conditions of This Purchase Order
- This Purchase Order (PO No. BAKER-PO-2025-0047) is issued by Baker Nigeria Limited, a duly registered company with its principal place of business in Nigeria Lagos, and shall be accepted by the Supplier by signing and returning a copy of this document within five (5) business days of receipt.
- All goods specified in this Purchase Order must be delivered to Baker's designated warehouse facility located at 7, Oba Akran Avenue, Ikeja Industrial Layout, Lagos, Nigeria, no later than 26 June 2025. Late delivery beyond the stipulated deadline shall attract a penalty of 1.5% of the total order value per day of delay, as per Baker's standard procurement policy in Nigeria Lagos.
- Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days from the date of successful delivery and acceptance of goods by Baker's quality assurance team. The payment shall be processed through First Bank of Nigeria, Lagos Main Branch, in accordance with the Central Bank of Nigeria (CBN) foreign exchange and domestic transaction regulations.
- All raw materials and food-grade products must comply with the standards set by the National Agency for Food and Drug Administration and Control (NAFDAC) of Nigeria and must carry valid NAFDAC registration numbers. Baker reserves the right to reject any shipment that does not meet the quality specifications outlined in this Purchase Order.
- The Supplier warrants that all equipment, including the industrial deck ovens and stainless steel mixing bowls, shall be free from defects in materials and workmanship for a period of twelve (12) months from the date of installation at Baker's Lagos facility. Any defective items shall be replaced at the Supplier's sole expense.
- This Purchase Order is subject to the laws of the Federal Republic of Nigeria. Any disputes arising from this transaction shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004). The seat of arbitration shall be Lagos, Nigeria.
- Baker Nigeria Limited reserves the right to modify, amend, or cancel this Purchase Order in whole or in part upon written notice to the Supplier, provided that such modification does not prejudice the Supplier's reasonable reliance on this document. Any such amendment must be countersigned by both parties to be effective.
- All packaging materials bearing the Baker brand name and logo must be produced in accordance with the brand guidelines provided by Baker's marketing department in Lagos. Unauthorized use of Baker's trademarks outside the scope of this Purchase Order is strictly prohibited under the Trademarks Act (Cap T13, LFN 2004).
- This Purchase Order does not constitute a guarantee of future business. Baker's decision to issue this Purchase Order for the procurement of bakery supplies in Nigeria Lagos does not obligate Baker to issue further Purchase Orders to the Supplier in subsequent periods.
