All goods under this Purchase Order shall be shipped from the Baker International Trading LLC facility in Dubai, UAE, and delivered on a DDP (Delivered Duty Paid) basis to the buyer's designated warehouse at Plot 47-B, Korangi Industrial Area, Karachi, Sindh, Pakistan. The estimated delivery window is 35 to 45 calendar days from the date of this Purchase Order. Baker International Trading LLC is responsible for all export documentation, customs clearance at Karachi Port, inland trucking to the Korangi Industrial Area, and final unloading at the buyer's premises. The buyer shall ensure that the receiving area at the Karachi warehouse is accessible to heavy cargo vehicles and that a forklift or crane is available for unloading items weighing more than 500 kilograms. Delivery to Karachi shall be coordinated with the buyer's logistics representative, Mr. Tariq Mehmood (Tel: +92 300 4567890), at least five business days prior to the vessel's arrival at Karachi Port.
- Acceptance: This Purchase Order becomes a binding contract upon written or electronic acceptance by Baker International Trading LLC. Acceptance must be communicated to the buyer within five (5) business days of the issue date.
- Quality Assurance: All Baker-branded equipment must be new, unused, and in original factory packaging. Each item must be accompanied by a manufacturer's warranty certificate (minimum 24 months), a certificate of origin, and a PSQCA-compliant test report. The buyer reserves the right to conduct a pre-shipment inspection at the Baker facility in Dubai at the buyer's expense.
- Payment: Payment shall be made via irrevocable Letter of Credit (LC) issued by Habib Bank Limited, Karachi Branch, within ten (10) business days of the Purchase Order acceptance. The LC shall be valid for 60 days from the date of shipment. Alternatively, the buyer may opt for a 30% advance payment via wire transfer to Baker International Trading LLC's designated account, with the remaining 70% due upon presentation of the Bill of Lading and commercial invoice.
- Warranty & After-Sales Support: Baker International Trading LLC shall provide a minimum 24-month warranty on all mechanical and electrical components. Baker shall dispatch a certified technician to Karachi, Pakistan, within fourteen (14) calendar days of a valid warranty claim. Travel and accommodation costs for warranty-related visits shall be borne by Baker.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, war, government sanctions, port closures at Karachi Port, or other events beyond reasonable control. Affected parties must notify the other within 72 hours of the occurrence.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this order shall be resolved through arbitration in Karachi, Pakistan, under the rules of the Karachi Chamber of Commerce and Industry, with the arbitration conducted in English.
- Confidentiality: Both parties agree to maintain the confidentiality of all pricing, technical specifications, and commercial terms contained in this Purchase Order and shall not disclose such information to third parties without prior written consent.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both Baker International Trading LLC and Clifton Industrial Supplies (Pvt.) Ltd., Karachi.
