1. This Purchase Order is issued by Andina Comercial S.A.C., a legally registered entity in Lima, Peru, and constitutes a binding request for the supply of Baker-branded industrial equipment and associated services as itemized above.
2. Baker Industrial Solutions Ltd. (hereinafter referred to as "Baker") acknowledges receipt of this Purchase Order and confirms that all Baker products listed conform to the specifications, quality standards, and certifications required for operation within the Republic of Peru, including compliance with Peruvian technical regulations (NTP) and food-safety standards where applicable.
3. All Baker equipment shall be shipped under CIF Callao Port, Lima, Peru. Baker assumes full responsibility for packaging, export documentation, international freight, marine insurance, and delivery to the designated warehouse in Callao, Lima.
4. Payment shall be made in United States Dollars (USD) via international wire transfer to the Baker account specified in the supplier block. A 30% advance payment is due within 10 business days of Purchase Order acceptance. The remaining 70% balance shall be settled within 15 business days following confirmed delivery and successful inspection at the Lima receiving facility.
5. The applicable Peruvian Value Added Tax (IGV) at the rate of 18% shall be calculated on the CIF value and is to be remitted by the buyer to the Peruvian tax authority (SUNAT) in accordance with current Peruvian tax legislation. Baker shall provide all necessary customs documentation, including commercial invoice, packing list, certificate of origin, and bill of lading, to facilitate the import clearance process at the Callao Port customs office.
6. Baker warrants that all equipment is new, free from defects in material and workmanship, and carries a minimum 24-month warranty from the date of installation in Lima. Baker shall provide spare parts availability for a minimum of 10 years from the date of this Purchase Order.
7. The Baker installation and commissioning service, as well as the operator training program, shall be conducted in Spanish at the buyer's facility in Lima, Peru. Baker shall provide all necessary travel, accommodation, and per diem for its technical personnel at no additional cost beyond the amounts stated in this Purchase Order.
8. Any delay in delivery beyond the 45-calendar-day window shall entitle the buyer to a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%. Delays exceeding 30 days beyond the agreed window shall grant the buyer the right to cancel this Purchase Order without penalty.
9. This Purchase Order is governed by the laws of the Republic of Peru. Any disputes arising from this document shall be resolved through the competent commercial courts of Lima, Peru. Both parties agree to attempt good-faith mediation before initiating any legal proceedings.
10. This Purchase Order becomes effective upon written acceptance by Baker and remains valid for 30 calendar days from the date of issue. No modifications shall be valid unless made in writing and signed by authorized representatives of both parties.
