• 1. Scope of Supply: This Purchase Order is issued by Al Noor Trading & Supplies W.L.L., Doha, Qatar, to Baker International Baking Solutions Ltd. for the supply, delivery, installation, and commissioning of professional bakery equipment and consumables as itemized above. All goods and services shall be delivered to the designated warehouse facility in the Industrial Area, Doha, Qatar.
• 2. Delivery Schedule: Baker shall ensure that all equipment and materials are delivered to the Qatar Doha site no later than 30 June 2025. Installation and commissioning services shall be completed within five (5) business days of equipment delivery. Baker is responsible for all logistics, customs clearance, and transportation within Qatar Doha.
• 3. Quality & Compliance: All Baker products must comply with the Qatar Standards and Metrology Organization (QSMO) regulations and meet the applicable food safety standards mandated by the Ministry of Public Health, State of Qatar. Baker shall provide certificates of conformity, material safety data sheets, and warranty documentation for all equipment delivered to Qatar Doha.
• 4. Payment Terms: Payment shall be made within forty-five (45) calendar days from the date of the approved invoice issued by Baker. Payment shall be processed via bank transfer to Baker's designated account in Qatar Doha. The total amount due under this Purchase Order is Four Hundred Ninety-Six Thousand Nine Hundred and Eighty Qatari Riyals (QAR 496,980.00), inclusive of 14% VAT as per Qatar Doha tax regulations.
• 5. Warranty: Baker shall provide a minimum two-year comprehensive warranty on all equipment items listed in this Purchase Order. The warranty shall cover parts, labor, and on-site service calls within Qatar Doha. Consumable items (flour, yeast, packaging) are excluded from warranty coverage.
• 6. Training: Baker shall conduct a three-day on-site operator training program at the Qatar Doha facility. Training shall cover equipment operation, preventive maintenance, safety protocols, and troubleshooting. A minimum of six (6) Al Noor staff members shall attend. Baker shall provide training manuals in both English and Arabic.
• 7. Cancellation & Penalties: In the event of delayed delivery beyond the agreed date, Baker shall be liable for a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total value. Al Noor reserves the right to cancel this Purchase Order with written notice if Baker fails to deliver within fifteen (15) days of the required delivery date.
• 8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Qatar. Any disputes arising from this Purchase Order between Al Noor Trading & Supplies W.L.L. and Baker International Baking Solutions Ltd. shall be resolved through arbitration in Doha, Qatar, in accordance with the Qatar Arbitration Law.
• 9. Validity: This Purchase Order is valid for sixty (60) days from the date of issue. Baker must acknowledge acceptance of this Purchase Order in writing within ten (10) business days of receipt. Failure to acknowledge shall be deemed as acceptance of all terms herein.
