This Purchase Order is issued by OOO "Moskva Pechnoye Proizvodstvo" (hereinafter referred to as the "Buyer"), a registered entity operating in Russia Moscow, to Baker Industrial Equipment Corporation (hereinafter referred to as "Baker" or the "Seller"), for the supply, delivery, installation, and commissioning of commercial baking and food processing equipment. This Purchase Order governs all terms, conditions, pricing, and obligations related to the procurement of Baker-manufactured products for use at the Buyer's production facility located in Russia Moscow. All references to "Baker" throughout this document pertain exclusively to Baker Industrial Equipment Corporation and its authorized product lines. All delivery, installation, and after-sales service obligations under this Purchase Order shall be fulfilled at the designated site in Russia Moscow unless otherwise specified in writing by both parties.

All Baker equipment and materials specified in this Purchase Order shall be delivered to the Buyer's production facility at 125167, Russia Moscow, Leningradskoye Shosse, 42, Building 3. The delivery terms are DDP (Delivered Duty Paid) Russia Moscow in accordance with Incoterms 2020. Baker shall be responsible for all transportation, packaging, insurance, customs documentation, and import clearance procedures required to deliver the goods to the specified address in Russia Moscow. The estimated delivery window is 45 to 60 calendar days from the date of this Purchase Order. Baker shall provide the Buyer with a detailed shipping schedule, bill of lading, commercial invoice, packing list, and all necessary customs declarations for entry into Russia Moscow no later than five (5) business days prior to the vessel or freight departure. All Baker-branded packaging must include bilingual labeling (English and Russian) to comply with Russian Federation import regulations applicable to goods entering Russia Moscow.

Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable letter of credit issued by a bank recognized in Russia Moscow, or by wire transfer to the Baker corporate account. The payment schedule is as follows: 30% advance payment ($58,770.00) due within ten (10) business days of the Buyer's written acceptance of this Purchase Order; 50% progress payment ($97,950.00) due upon Baker's confirmation of shipment and provision of the bill of lading; and 20% final payment ($39,180.00) due within fifteen (15) business days following successful installation, commissioning, and acceptance of all Baker equipment at the Russia Moscow site. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

Baker warrants that all equipment supplied under this Purchase Order shall be new, of first quality, and free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance at the Russia Moscow facility. Baker shall provide on-site warranty service in Russia Moscow within seventy-two (72) hours of a written service request. Baker shall maintain a dedicated after-sales support channel for the Russia Moscow region, including a local service representative and a stocked spare parts depot to ensure minimal downtime for the Buyer's baking operations. All Baker equipment shall be configured and calibrated to operate optimally under the ambient conditions typical of Russia Moscow, including cold winter storage and seasonal humidity variations.

• This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce, with the seat of arbitration in Geneva, Switzerland.
• Baker shall comply with all applicable export control regulations of the United States and all import regulations of the Russian Federation, including those specific to the entry of industrial equipment into Russia Moscow.
• Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government sanctions, or restrictions on international trade affecting the Russia Moscow corridor.
• All intellectual property, trademarks, and proprietary technology associated with Baker products remain the exclusive property of Baker Industrial Equipment Corporation. The Buyer's acceptance of this Purchase Order does not transfer any such rights.
• This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the supply of Baker equipment to Russia Moscow.
• Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both Baker and the Buyer.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the supply of Baker industrial baking equipment to the designated facility in Russia Moscow.
