All Baker Industrial Supply Co. equipment and materials referenced in this Purchase Order shall be delivered to the Buyer's production facility located at 42 Liteyny Avenue, Vasilyevsky Island District, Saint Petersburg, 199034, Russia. Delivery shall be completed no later than 05 August 2025. Baker Industrial Supply Co. is responsible for all transportation, insurance, and customs clearance within the territory of the Russian Federation. The delivery address is within the administrative boundaries of Saint Petersburg, and all local municipal permits for heavy equipment transport through the city center shall be obtained and covered by Baker Industrial Supply Co. prior to the scheduled delivery date.
- Acceptance of Purchase Order: This Purchase Order constitutes a binding agreement between Northern Baking & Confectionery Group LLC (Buyer) and Baker Industrial Supply Co. Ltd. (Seller) upon written acceptance by both parties. Baker Industrial Supply Co. shall confirm acceptance in writing within five (5) business days of the issue date stated above.
- Payment Schedule: A 30% advance payment shall be due within ten (10) business days of Purchase Order acceptance. The remaining 70% balance shall be due within forty-five (45) days of confirmed delivery and successful commissioning of all Baker equipment at the Saint Petersburg facility. All payments shall be made in Russian Rubles (RUB) via bank transfer to the account designated by Baker Industrial Supply Co.
- Warranty: Baker Industrial Supply Co. shall provide a minimum two-year comprehensive warranty on all mechanical and electrical components of the supplied equipment. The warranty period commences on the date of successful installation and commissioning at the Buyer's Saint Petersburg premises. Any defects or malfunctions arising during the warranty period shall be repaired or replaced at no additional cost to the Buyer.
- Compliance with Russian Regulations: All Baker equipment supplied under this Purchase Order shall comply with the technical regulations of the Eurasian Economic Union (EAEU) and the sanitary-epidemiological standards established by Rospotrebnadzor for food production facilities in Saint Petersburg, Russia. Baker Industrial Supply Co. shall provide all necessary EAC conformity certificates and technical passports in Russian.
- Installation and Training: Baker Industrial Supply Co. shall dispatch qualified engineers to the Saint Petersburg site to perform full installation, calibration, and commissioning of all supplied equipment. A minimum of three (3) full days of operator training shall be conducted on-site for the Buyer's technical staff, covering safe operation, routine maintenance, and troubleshooting of all Baker product lines included in this order.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to supply chains within or affecting the Russian Federation. Affected parties shall notify the other in writing within forty-eight (48) hours of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and applicable commercial legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the pricing, specifications, and commercial terms contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent, except as required by Russian federal law or regulatory authorities in Saint Petersburg.
