Terms and Conditions
- This Purchase Order is issued by Baker Industries S.L., a company registered in Valencia, Spain, and constitutes a binding commitment to purchase the goods specified herein from Baker Global Supply Co., Ltd. upon acceptance by the supplier.
- All Baker-branded equipment and components listed in this Purchase Order must be new, unused, and in original manufacturer packaging. Any item found to be defective, damaged, or not conforming to the specifications stated in this document shall be replaced at the sole expense of Baker Global Supply Co., Ltd.
- Delivery shall be made to the Baker Industries S.L. warehouse located in the Polígono Industrial Malvarrosa, Valencia, Spain. The supplier Baker Global Supply Co., Ltd. is responsible for all transportation, customs clearance, import duties, and insurance up to the point of delivery in Spain Valencia, as per DDP Incoterms 2020.
- Payment shall be made via bank transfer to the IBAN specified above within forty-five (45) calendar days from the date of the commercial invoice. Baker Industries S.L. reserves the right to withhold payment for any portion of the goods not yet delivered or found to be non-conforming.
- The supplier Baker Global Supply Co., Ltd. shall provide a minimum of twenty-four (24) months warranty on all Baker equipment, covering parts and labor, with on-site service available in the Valencia region within 48 hours of a service request.
- All goods must comply with applicable European Union directives, including the CE marking requirement, the Machinery Directive 2006/42/EC, and Spanish national regulations governing industrial equipment in the Comunitat Valenciana. Baker Industries S.L. requires full technical documentation, user manuals in Spanish, and conformity certificates prior to acceptance of delivery.
- Time is of the essence. Failure to deliver by the required delivery date of 08 July 2025 shall entitle Baker Industries S.L. to claim liquidated damages of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value, without prejudice to the right to terminate this Purchase Order for material breach.
- This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain.
- No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both Baker Industries S.L. and Baker Global Supply Co., Ltd.
- The supplier acknowledges that Baker Industries S.L. operates under the environmental and occupational health regulations of the Generalitat Valenciana and that all Baker equipment delivered must meet the applicable noise emission, energy efficiency, and workplace safety standards in force in Spain Valencia at the time of installation.
