All Baker equipment and materials under this Purchase Order shall be delivered DDP (Delivered Duty Paid) to the buyer's facility located at Kızılay Mahallesi, Atatürk Bulvarı No. 245, Çankaya, 06700 Ankara, Turkey. The Baker supplier is responsible for all transportation, export clearance from the United States, international freight, import customs clearance in Turkey, and final delivery to the designated Ankara warehouse. The delivery window is between 28 July 2025 and 05 August 2025. All Baker-branded packaging must bear the Purchase Order number PO-BAK-2025-04871 for traceability. The buyer's logistics coordinator in Ankara, Mr. Ahmet Kaya, will be the point of contact for receiving and unloading operations at the Ankara facility.
Terms and Conditions1. Payment: Payment shall be made within forty-five (45) calendar days from the date of confirmed delivery and acceptance of all Baker goods at the Ankara, Turkey facility. Payment shall be processed via international wire transfer to the Baker account as specified in the supplier's invoice. A 2% early payment discount applies if settled within fifteen (15) days of delivery confirmation.
2. Quality Assurance: All Baker products must conform to the specifications outlined in the Baker product catalog (Edition 2025) and comply with Turkish Food Safety Standards (TSE) and EU CE marking requirements. The buyer reserves the right to inspect all Baker equipment upon arrival in Ankara. Any non-conforming items must be replaced or repaired by Baker at no additional cost within thirty (30) days.
3. Warranty: Baker provides a standard two-year comprehensive warranty on all mechanical and electrical components of the equipment listed in this Purchase Order. The warranty is valid from the date of successful commissioning in Ankara, Turkey. Spare parts listed under Item No. 7 carry a one-year warranty.
4. Installation & Training: Baker shall dispatch a qualified engineering team to Ankara, Turkey, no later than 01 August 2025, to perform full installation, calibration, and commissioning of all Baker equipment. The operator training program (Item No. 9) shall be conducted in Turkish and English at the Ankara facility over three consecutive business days.
5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures affecting the Ankara logistics corridor, or international trade restrictions. Affected parties must notify the other within five (5) business days.
6. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Istanbul, Turkey, under the rules of the Istanbul Arbitration Centre (ISTAC).
7. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and technical specifications contained in this Purchase Order and any associated Baker product documentation.
