1. Delivery: All goods ordered under this Purchase Order by Baker Trading LLC shall be delivered to the designated site at Sheikh Zayed Road, Downtown Dubai, United Arab Emirates, no later than 29 June 2025. Delivery shall be made in accordance with DDP (Delivered Duty Paid) terms as specified by the International Chamber of Commerce (Incoterms 2020). The supplier, Baker Industrial Supplies FZE, assumes full responsibility for transportation, customs clearance within the United Arab Emirates, and all associated duties and taxes until the goods are physically received at the Baker Trading LLC premises in Dubai.
2. Payment: Payment shall be made by bank transfer to the supplier's designated account within thirty (30) calendar days from the date of receipt of a valid tax invoice from Baker Industrial Supplies FZE. The payment shall be processed in UAE Dirhams (AED) through a licensed bank operating in the United Arab Emirates. Late payments shall attract a penalty of 2% per month as per UAE commercial law.
3. Quality Assurance: All Baker-branded equipment and materials supplied under this Purchase Order must conform to the specifications outlined in the attached technical annexure. Baker Trading LLC reserves the right to inspect and test all delivered items within seven (7) business days of arrival in Dubai. Any non-conforming items must be replaced or repaired at the supplier's sole cost within fourteen (14) days of written notice.
4. Warranty: Baker Industrial Supplies FZE shall provide a minimum warranty of twenty-four (24) months on all mechanical and electrical components of the Baker equipment listed in this Purchase Order. The warranty is valid from the date of successful installation and commissioning at the buyer's site in Dubai, United Arab Emirates.
5. Cancellation and Modification: This Purchase Order may be modified or cancelled only by mutual written agreement between Baker Trading LLC and Baker Industrial Supplies FZE. Cancellation after the supplier has commenced manufacturing or procurement of materials shall be subject to a penalty of 15% of the total Purchase Order value.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts, United Arab Emirates.
7. Force Majeure: Neither Baker Trading LLC nor Baker Industrial Supplies FZE shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or disruptions affecting the United Arab Emirates or Dubai specifically.
