- Acceptance: This Purchase Order constitutes a binding agreement between Thames Artisan Bakery Ltd. (hereinafter referred to as the "Baker" in its operational capacity) and Baker & Sons Wholesale Provisions upon written acceptance by the supplier. All goods and services specified herein shall be delivered to the designated location in United Kingdom London as stated in the delivery details above.
- Delivery: All items listed in this Purchase Order must be delivered to the Baker Street Warehouse, 142 Baker Street, London, United Kingdom, no later than 26 June 2025. Delivery shall be made between the hours of 07:00 and 14:00 on any working day. The supplier, Baker & Sons Wholesale Provisions, shall bear all costs associated with transportation, insurance, and handling of goods until they are received and inspected at the Baker's premises in London.
- Quality Standards: All baking ingredients and equipment supplied under this Purchase Order must comply with the Food Safety Standards Act 1990 and all applicable regulations enforced within the United Kingdom. The Baker reserves the right to reject any goods that do not meet the specified quality, freshness, or safety criteria. Rejected items must be replaced within five (5) working days at no additional cost to the Baker.
- Payment: Payment of the total amount of £54,438.00 (fifty-four thousand four hundred and thirty-eight pounds sterling) shall be made within thirty (30) days of the date of the supplier's invoice, provided that all goods have been received in full and accepted by the Baker's quality assurance team. Payment shall be made via BACS bank transfer to the account details provided by Baker & Sons Wholesale Provisions.
- Warranty: All capital equipment, including the Industrial Spiral Mixers, Convection Baking Oven, and Proofing Chambers, shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of delivery in United Kingdom London. The Baker shall be entitled to full repair or replacement under warranty terms at no additional expense.
- Intellectual Property & Branding: The Baker acknowledges that certain products referenced in this Purchase Order (e.g., "London Baker Series" ovens) are proprietary to the supplier. No rights of ownership or trademark are transferred by this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or supply chain disruptions affecting the United Kingdom or London specifically.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both the Baker and the supplier. Verbal agreements or informal communications shall not alter the terms set forth in this document.
- Confidentiality: Both parties agree to maintain the confidentiality of all pricing, quantities, and commercial terms contained within this Purchase Order. This obligation shall survive the completion of the transaction for a period of two (2) years.
