Terms, Conditions & Delivery Specifications
- This Purchase Order is governed by the commercial laws of the State of Illinois and the Uniform Commercial Code as adopted in United States Chicago, Illinois. All disputes arising from this Purchase Order shall be resolved in the courts of Cook County, United States Chicago.
- All Baker-grade ingredients must comply with FDA regulations and carry current USDA organic certification where indicated. The supplier shall provide certificates of analysis for each lot delivered to our United States Chicago warehouse.
- Delivery of all items under this Purchase Order must be completed no later than June 26, 2025, between the hours of 7:00 AM and 3:00 PM Central Time at the Baker Supply & Provisions Company facility located at 1427 W. Cermak Road, United States Chicago, IL 60608.
- Payment shall be remitted within thirty (30) calendar days of the invoice date via ACH transfer to the account designated by the supplier. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Illinois commercial law.
- The supplier warrants that all equipment items (Spiral Dough Mixers, Convection Deck Oven, and Proofing Cabinet) are new, unused, and carry a minimum two-year manufacturer's warranty. Installation and initial calibration in our United States Chicago facility shall be performed by the supplier's certified technicians at no additional cost.
- Baker Supply & Provisions Company reserves the right to inspect all goods upon arrival at the United States Chicago receiving dock. Any items found damaged, defective, or not conforming to the specifications stated in this Purchase Order shall be rejected and replaced at the supplier's sole expense within five (5) business days.
- This Purchase Order constitutes the entire agreement between the parties regarding the items listed herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the Baker product line procurement for the current fiscal quarter.
- Neither party may assign this Purchase Order without the prior written consent of the other party. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both Baker Supply & Provisions Company and the supplier.
- Force majeure events, including but not limited to severe weather affecting the United States Chicago metropolitan area, shall excuse timely performance for the duration of the event, provided written notice is given within 48 hours.
