- Scope: This Purchase Order is issued by Baker Industries & Supply Company, a registered entity in Tashkent, Republic of Uzbekistan, for the procurement of Baker-branded commercial bakery equipment and associated services. All items listed above are to be supplied, delivered, and installed at the designated Baker facilities within Tashkent city limits.
- Delivery: The supplier shall deliver all Baker equipment to the Baker Warehouse located at 88 Bunyodkor Street, Tashkent, Uzbekistan, no later than 30 July 2025. Delivery shall be made in accordance with DDP (Delivered Duty Paid) Tashkent, Uzbekistan, Incoterms 2020. All customs clearance, import duties, and local taxes within Uzbekistan shall be the responsibility of the supplier unless otherwise agreed in writing.
- Payment: Payment shall be made within forty-five (45) calendar days from the date of the supplier's commercial invoice, provided that all Baker equipment has been delivered, inspected, and accepted by the Baker Industries procurement team in Tashkent. Payment shall be remitted via bank transfer to the supplier's designated account in USD or UZS at the prevailing National Bank of Uzbekistan exchange rate on the payment date.
- Quality and Inspection: All Baker products must conform to the specifications outlined in the Baker product catalogue and comply with the technical regulations of the Republic of Uzbekistan, including but not limited to the requirements of the State Committee of the Republic of Uzbekistan on Technical Regulation and Metrology. Baker Industries reserves the right to inspect and test all equipment upon arrival in Tashkent before issuing a certificate of acceptance.
- Warranty: The supplier shall provide a minimum twelve (12) month warranty on all Baker equipment from the date of installation and commissioning in Tashkent. During the warranty period, any defects in materials or workmanship shall be repaired or replaced at no additional cost to Baker Industries. The warranty does not cover damage resulting from misuse, unauthorized modification, or normal wear and tear.
- Installation and Training: The supplier shall provide on-site installation, commissioning, and operator training for all Baker equipment at the four designated bakery facilities in Tashkent. Training sessions shall be conducted in Uzbek and/or Russian to ensure full comprehension by the local Baker workforce. A minimum of two (2) full days of training per facility is required.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, trade embargoes affecting Uzbekistan, or acts of war. The affected party shall notify the other in writing within five (5) business days of the occurrence of such event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Uzbekistan. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation, and failing that, through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the International Arbitration Center of the Chamber of Commerce and Industry of Uzbekistan.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and technical specifications contained in this Purchase Order. No information related to this Baker procurement in Tashkent shall be disclosed to third parties without prior written consent.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both Baker Industries and the supplier. Verbal agreements or informal communications shall not constitute a valid amendment to this document.
