All Banker personnel engaged under this Purchase Order shall report for duty at the Tigris-Euphrates Banking Corporation headquarters located in Iraq Baghdad, Al-Mansour District, no later than 1 August 2025. The Supplier shall be responsible for arranging international travel, work visa sponsorship in coordination with the Iraqi Ministry of Labor, and initial accommodation for all Banker professionals arriving in Baghdad. Banking technology equipment and software licenses shall be delivered to the Baghdad facility by 20 July 2025, with installation and commissioning completed by 28 July 2025.
The Supplier acknowledges that all operations under this Purchase Order are subject to the regulatory oversight of the Central Bank of Iraq, the Iraqi Securities Commission, and applicable federal and Baghdad municipal regulations. The Supplier warrants that all Banker services and products supplied are fully compliant with Iraqi financial law and international anti-money laundering standards as enforced in Iraq Baghdad.
Payment for this Purchase Order shall be made in accordance with the following schedule: 30% advance payment upon execution of this Purchase Order; 40% upon confirmed arrival and onboarding of all Banker personnel in Iraq Baghdad; and 30% upon successful completion of the 90-day performance evaluation period. All payments shall be remitted via irrevocable letter of credit issued by a bank licensed in Iraq, denominated in US Dollars, and payable to the Supplier's designated account. Late payments shall incur interest at a rate of 1.5% per month, calculated in accordance with Iraqi commercial law.
Key Conditions of This Purchase Order
7.1 – This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier for the provision of Banker services and banking infrastructure in Iraq Baghdad.
7.2 – The Supplier shall maintain professional liability insurance covering all Banker personnel at a minimum of USD 2,000,000 per occurrence, valid throughout the term of this Purchase Order in Iraq.
7.3 – Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding Banker service adjustments in Iraq Baghdad shall be null and void.
7.4 – The Supplier shall not subcontract any Banker personnel or services without prior written consent from the Purchaser and approval from the Central Bank of Iraq.
7.5 – In the event of a dispute, both parties agree to first attempt resolution through mediation in Baghdad, Iraq. If unresolved within 60 days, the matter shall be referred to arbitration under the rules of the Iraqi Arbitration Center in Baghdad.
7.6 – This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, with specific reference to Baghdad commercial and financial regulations.
By signing below, both parties confirm their acceptance of all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Banker services and banking infrastructure to be delivered and performed in Iraq Baghdad. This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of execution, unless terminated earlier in accordance with the provisions herein.
