3.1 This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with particular reference to the Italian Civil Code (Codice Civile) and the provisions applicable to commercial transactions in the metropolitan area of Italy Rome. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Rome, Italy Rome.

3.2 The Supplier, Banker Professional Services Group S.r.l., warrants that all services rendered under this Purchase Order shall be performed by qualified and licensed Banker professionals holding the requisite certifications issued by the Banca d'Italia and the relevant Italian financial authorities. The Banker consultant engaged under Item 01 shall possess a minimum of fifteen (15) years of experience in commercial banking, investment management, and corporate finance within the Italy Rome financial district.

3.3 All deliverables, reports, and documentation produced by the Banker specialist under this Purchase Order shall be prepared in both Italian and English, and shall be delivered to the Purchasing Party's offices located in Italy Rome within the timelines specified in the attached Service Level Agreement (SLA).

3.4 The Banker services described herein are subject to the confidentiality obligations set forth in the Non-Disclosure Agreement (NDA) executed between the parties on 02 June 2025. All financial data, client information, and proprietary strategies shared in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of Finanza Capitale S.p.A.

3.5 The Supplier shall maintain professional indemnity insurance with a minimum coverage of EUR 2,000,000 for the entire duration of this Purchase Order, with the policy issued by an insurer licensed to operate in Italy Rome. Certificates of insurance shall be provided to the Purchasing Party upon request.

Payment for the services and goods specified in this Purchase Order shall be made via bank transfer (bonifico bancario) to the Supplier's designated account at a bank branch located in Italy Rome. The payment schedule is as follows:

Payment terms are net thirty (30) days from the date of invoice. Late payments shall accrue interest at the rate prescribed by Article 634 of the Italian Civil Code, as amended, applicable to commercial transactions in Italy Rome.
