This Purchase Order is issued by Société Générale de Services Financiers (hereinafter referred to as the "Buyer"), a financial services company duly registered in Casablanca, Morocco, to procure the complete Banker Enterprise Suite from Banker Technologies International S.A. (hereinafter referred to as the "Seller"). The Banker Enterprise Suite encompasses a comprehensive set of banking infrastructure hardware, secure software licensing, and ongoing technical support services designed to modernize the Buyer's operational banking platform within the Casablanca financial district. The Seller warrants that all Banker-branded components supplied under this Purchase Order shall conform to the specifications outlined in Annex A attached hereto and shall comply with all applicable regulations of the Bank Al-Maghrib (Central Bank of Morocco) and the Moroccan Financial Market Authority (AMF).

Payment shall be made in Moroccan Dirhams (MAD) via bank transfer to the Seller's designated account at Bank of Africa (BMCE Bank), Casablanca branch, IBAN: MA64 4002 1010 0001 2345 6789 0. The payment schedule for this Banker procurement is as follows:

  • 30% Advance Payment (MAD 2,040,660.00) – Due within 10 business days of Purchase Order acceptance, to be remitted to the Seller's account in Casablanca.
  • 50% Progress Payment (MAD 3,401,100.00) – Due upon delivery and successful installation of all Banker hardware and software at the Buyer's Casablanca premises.
  • 20% Final Payment (MAD 1,360,440.00) – Due within 30 days after completion of the Banker training program and issuance of the final acceptance certificate by the Buyer's IT Director.

All payments are subject to the provisions of the Moroccan Commercial Code and the applicable tax regulations of the Direction Générale des Impôts (DGI), Casablanca region. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Moroccan commercial law.

The Seller shall deliver all Banker-branded equipment and materials to the Buyer's headquarters located at 12, Boulevard Mohammed V, Casablanca 20250, Morocco, no later than 15 August 2025. Delivery shall be made in accordance with the DAP (Delivered at Place) Incoterm 2020. The Seller is responsible for all transportation, insurance, and customs clearance (if applicable for imported Banker components) within the Kingdom of Morocco. Installation, configuration, and integration of the Banker Enterprise Suite into the Buyer's existing infrastructure shall be completed within 20 business days following physical delivery. The Seller shall assign a dedicated project manager based in Casablanca to oversee the entire deployment of the Banker system.

The Seller guarantees that all Banker products and services delivered under this Purchase Order are free from defects in materials and workmanship for a period of 36 months from the date of final acceptance. The Banker software licenses are granted exclusively for use within the Buyer's operations in Casablanca and shall not be transferred, sublicensed, or distributed to any third party without prior written consent. All Banker hardware components shall carry a minimum 5-year manufacturer warranty. The Seller confirms that the Banker Enterprise Suite is fully compliant with the data protection regulations of the CNDP (Commission Nationale de contrôle de la protection des Données à caractère Personnel) of Morocco and the cybersecurity directives issued by Bank Al-Maghrib for financial institutions operating in Casablanca and the wider Moroccan territory.

In the event of delayed delivery of any Banker component beyond the stipulated deadline, the Seller shall pay a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total contract value. Force majeure events, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Casablanca metropolitan area, shall be governed by Article 271 of the Moroccan Civil Code. Either party may terminate this Purchase Order with 30 days' written notice in the event of a force majeure condition persisting beyond 60 consecutive days.

Any dispute arising from or in connection with this Purchase Order for the Banker Enterprise Suite shall first be subject to amicable negotiation between the parties. Failing resolution within 30 days, the dispute shall be referred to the competent commercial courts of Casablanca, Morocco, in accordance with the Moroccan Code of Civil Procedure. The parties irrevocably submit to the exclusive jurisdiction of the Tribunal de Commerce de Casablanca.

This Purchase Order constitutes a binding commercial agreement between the Buyer and the Seller upon signature by both parties. This document is executed in two (2) original copies in French and English, both versions being equally authentic, with the French version prevailing in the event of any discrepancy, in accordance with Moroccan legal practice.
