Terms and Conditions – Purchase Order for Banker Services in New Zealand Wellington
- This Purchase Order is issued in accordance with the New Zealand Government Procurement Rules and applies to all Banker products and services delivered within the Wellington region of New Zealand.
- Banker Financial Services & Solutions Ltd. shall deliver all goods and services to the designated location in Wellington Central, New Zealand, no later than the required delivery date stated above. Failure to meet the delivery timeline shall entitle the Purchasing Entity to a penalty of 1.5% of the total order value per calendar day of delay, up to a maximum of 15%.
- All Banker software licences purchased under this Purchase Order are subject to the New Zealand Privacy Act 2020 and the Financial Markets Conduct Act 2013. Banker warrants full compliance with all applicable New Zealand financial regulations as administered by the Financial Markets Authority (FMA) and the Reserve Bank of New Zealand.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from Banker, issued in accordance with New Zealand Inland Revenue Department (IRD) requirements. Payment shall be made via electronic funds transfer (EFT) to the Banker account details provided on the invoice.
- Banker shall provide a minimum twelve (12) month warranty on all hardware items and a twelve (12) month service-level agreement (SLA) on all software and support services, with a guaranteed 99.9% uptime for the Banker Enterprise Banking Platform as deployed in Wellington.
- All training sessions conducted by Banker staff in Wellington shall be delivered in English and shall comply with New Zealand Health and Safety at Work Act 2015 requirements. Banker shall provide all necessary safety documentation prior to on-site engagement.
- This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through the District Court of Wellington, New Zealand, or by mediation under the New Zealand Dispute Resolution Service.
- Banker shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Wellington Regional Procurement Authority. All Banker personnel working in New Zealand Wellington must hold valid work authorisation.
- Confidentiality: All data, financial records, and proprietary information exchanged between the parties under this Purchase Order shall be treated as strictly confidential in accordance with New Zealand data protection legislation. Banker shall implement appropriate security measures for all data stored in or processed through the Wellington data centre.
- This Purchase Order may be amended only by mutual written agreement of both parties. Any variation in scope, pricing, or delivery schedule for Banker services must be documented in a formal Purchase Order Variation issued by the Wellington Regional Procurement Authority.
