3. Description of Goods and Services
This Purchase Order is issued by the undersigned Banker institution, Al Doha National Banker Services LLC, operating within the financial district of Qatar Doha, for the procurement of the following banking infrastructure, equipment, and professional services. All items are to be delivered, installed, and commissioned at the Banker's primary branch located in the Doha Financial Centre, Qatar Doha, in full compliance with the regulations set forth by the Qatar Central Bank (QCB) and the Qatar Financial Centre Authority (QFCA).

4. Delivery and Installation
All goods specified in this Purchase Order shall be delivered to the Banker's premises at the Doha Financial Centre, Qatar Doha, no later than 30 July 2025. The Supplier is responsible for all logistics, customs clearance (if applicable), insurance in transit, and final installation within the Banker's designated operational floors. Installation of the Banker workstation terminals, biometric systems, and server infrastructure must be completed and certified operational by 15 August 2025. The professional Banker training programme (Item 04) shall commence no later than 1 September 2025 and be conducted at the Banker's training facility in Qatar Doha or at a mutually agreed venue within the Doha metropolitan area.
5. Payment Terms and Conditions
5.1 Payment shall be made in Qatari Riyal (QAR) via wire transfer to the Supplier's designated bank account in Qatar Doha. The Banker institution shall issue payment within forty-five (45) calendar days from the date of receipt of a valid tax invoice and proof of successful delivery and installation.
5.2 A retention of ten percent (10%) of the total Purchase Order value shall be withheld until the completion of a ninety (90) day performance warranty period following final acceptance of all goods and services by the Banker's technical committee in Qatar Doha.
5.3 Late payments beyond the stipulated period shall attract interest at the rate of 1.5% per month, calculated on the outstanding balance, in accordance with the Commercial Law of the State of Qatar.
5.4 All payments are subject to the Banker's internal financial approval process and compliance with the anti-money laundering (AML) and counter-terrorist financing (CTF) regulations enforced by the Qatar Central Bank.
6. Warranties and Compliance
6.1 The Supplier warrants that all goods and services delivered under this Purchase Order shall be new, of original manufacture, free from defects in material and workmanship, and fully compliant with the technical and regulatory standards mandated by the Qatar Central Bank and the Qatar Financial Centre Authority for any Banker operating in Qatar Doha.
6.2 The Supplier shall provide a minimum warranty period of twenty-four (24) months from the date of final acceptance for all hardware items and twelve (12) months for all software and service deliverables.
6.3 The Supplier shall ensure that all Banker training materials and programmes (Item 04) are updated to reflect the most current QCB circulars and regulatory guidance applicable to banking professionals in Qatar Doha at the time of delivery.
7. Governing Law and Dispute Resolution
This Purchase Order shall be governed by and construed in accordance with the laws of the State of Qatar. Any dispute arising out of or in connection with this Purchase Order shall be resolved through the Qatar International and Financial Centre (QIFC) Courts, located in Doha, Qatar. The parties agree that the QIFC Courts shall have exclusive jurisdiction over all matters pertaining to this Banker procurement transaction in Qatar Doha.
8. General Provisions
8.1 This Purchase Order constitutes a binding agreement between the Banker institution (Buyer) and the Supplier upon signature by both authorized representatives. No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both parties.
8.2 The Supplier shall maintain full confidentiality of all Banker operational data, customer information, and internal banking procedures encountered during the course of fulfilling this Purchase Order in Qatar Doha. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
8.3 The Supplier shall not subcontract any portion of the work without prior written consent from the Banker's Chief Procurement Officer. Any approved subcontractor shall be bound by the same terms and conditions as set forth in this Purchase Order.
8.4 In the event of force majeure, the affected party shall notify the other party in writing within five (5) business days. The obligations under this Purchase Order shall be suspended for the duration of the force majeure event, provided that the Banker's regulatory obligations to the Qatar Central Bank remain unaffected.
