All Banker hardware items (Items 004 and 005) shall be delivered to the Seoul Metropolitan Banking Consortium headquarters located at 456 Teheran-ro, Gangnam-gu, Seoul, South Korea, no later than 30 September 2025. Software licenses and modules (Items 001, 002, 003) shall be activated and deployed to the Seoul primary data center within 15 business days of Purchase Order acceptance. The Banker Professional Training Program (Item 006) shall be conducted on-site in Seoul between 1 October 2025 and 7 October 2025. All deliveries must comply with the customs and import regulations of the Republic of Korea, including but not limited to the Foreign Trade Act and the Financial Services Act as administered by the Financial Services Commission (FSC) in Seoul.

Payment Method: Wire transfer to the supplier's designated bank account in USD, with conversion to KRW at the Bank of Korea reference rate on the date of invoice.
Payment Schedule: 30% advance payment upon Purchase Order acceptance; 40% upon successful delivery and installation of all Banker hardware in Seoul; 30% upon final acceptance and completion of the Banker training program.
Payment Due Date: Net 45 days from the date of each applicable invoice.
Late Payment Penalty: 1.5% per month on outstanding balances, in accordance with the Korean Commercial Act.
Invoice Requirements: All invoices must be issued in Korean Won (KRW) and must include the supplier's VAT registration number, the buyer's VAT registration number, and a detailed breakdown of each Banker product or service line item.

This Purchase Order is governed by the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, under the rules of the Korean Commercial Arbitration Board (KCAB).
All Banker software and hardware delivered under this Purchase Order must comply with the Personal Information Protection Act (PIPA) of South Korea and the data localization requirements enforced by the Financial Services Commission for banking institutions operating in Seoul.
The supplier warrants that all Banker products and services are free from defects, fully licensed, and fit for purpose in the South Korean banking sector. The warranty period for hardware is 36 months from the date of delivery in Seoul; the warranty for software is co-terminous with the subscription term.
The supplier shall provide a dedicated Banker technical support team based in or accessible to Seoul, South Korea, ensuring a maximum response time of 4 hours for critical system failures affecting banking operations.
Intellectual property rights for all Banker proprietary software remain with the supplier. The buyer is granted a non-exclusive, non-transferable license to use the Banker platform solely for internal banking operations within South Korea.
Either party may terminate this Purchase Order with 90 days' written notice if the other party commits a material breach that remains uncured after 30 days of written notice.
All communications regarding this Purchase Order shall be conducted in English and Korean, with the Korean language version prevailing in the event of any discrepancy.

This Purchase Order for Banker products and services is issued for use in Seoul, South Korea, and constitutes a binding procurement commitment of the Seoul Metropolitan Banking Consortium. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this document.
