All services and goods referenced in this Purchase Order shall be delivered, installed, and made operational at the purchasing entity's premises located in Valencia, Spain, no later than 30 July 2025. The designated Banker professional shall commence duties on or before 1 August 2025 and shall report directly to the Director of Finance at the Valencia office. All on-site activities, including the Banker training programme and hardware deployment, shall be conducted within the Comunitat Valenciana region. The supplier guarantees that all services comply with the applicable Spanish banking regulations, the Ley 10/2014 de Ordenación, Supervisión y Solvencia de Entidades de Crédito, and the directives of the Banco de España.
Payment for this Purchase Order shall be made via SEPA bank transfer to the supplier's designated account in Spain Valencia. The payment schedule is as follows: 40% upon signature of this Purchase Order, 35% upon successful onboarding of the Banker professional and activation of the corporate accounts, and the remaining 25% upon completion of the final audit support deliverable. All invoices must reference Purchase Order number PO-VAL-2025-00487. Late payments shall accrue interest at the rate established by the Ley 3/2004 de lucha contra la morosidad en las operaciones comerciales.
7.1. This Purchase Order is governed by the laws of the Kingdom of Spain, with exclusive jurisdiction of the courts of Valencia, Comunitat Valenciana.
7.2. The supplier warrants that the Banker professional engaged under this Purchase Order holds all necessary professional qualifications, is registered with the relevant Spanish professional bodies, and maintains full professional indemnity insurance.
7.3. All personal data processed in connection with this Purchase Order shall comply with the Reglamento General de Protección de Datos (RGPD) and the Spanish Ley Orgánica 3/2018 de Protección de Datos Personales.
7.4. Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach. Termination shall not affect accrued payment obligations.
7.5. Any disputes arising from this Purchase Order shall first be subject to mediation before the Centro de Arbitraje y Mediación de Valencia before escalation to judicial proceedings.
7.6. This Purchase Order constitutes the entire agreement between the parties regarding the Banker services and financial infrastructure described herein and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Banker services in Spain Valencia.
