All goods specified in this Purchase Order shall be delivered to the Banker's office at 42 Threadneedle Street, United Kingdom London, EC2R 8AY, no later than 28th June 2025. Software licences and digital services shall be activated and made available to the Banker within five (5) business days of the date of this Purchase Order. The Supplier shall coordinate all deliveries to the United Kingdom London address and confirm delivery in writing. Installation of the secure document management system and the client communication platform shall be completed by certified technicians at the Banker's premises in United Kingdom London at no additional cost.
Important Conditions of This Purchase Order
1. This Purchase Order is governed by the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
2. The Banker, as the purchasing party, reserves the right to inspect all goods and services upon delivery. Any items found to be defective, incomplete, or not conforming to the specifications outlined in this Purchase Order shall be replaced or refunded within fourteen (14) calendar days.
3. Payment of the total amount of GBP 51,018.00 shall be made via direct bank transfer to the Supplier's designated account within thirty (30) days of receipt of a valid tax invoice, in accordance with United Kingdom commercial practice.
4. The Supplier warrants that all software and digital services provided shall comply with the Financial Conduct Authority (FCA) data protection requirements applicable to banking professionals operating in United Kingdom London.
5. This Purchase Order may not be assigned or transferred without the prior written consent of the Banker. All intellectual property related to the software licences remains the property of the Supplier, with a non-exclusive licence granted to the Banker for use in United Kingdom London.
6. In the event of force majeure, either party may be relieved of obligations under this Purchase Order for a period not exceeding sixty (60) days, after which the Banker may terminate this Purchase Order without penalty.
7. All communications regarding this Purchase Order shall be directed to the Banker at the United Kingdom London address stated above or via the email address provided.
This Purchase Order is issued and authorised by the undersigned Banker, acting in his official capacity as Senior Banker of Whitfield & Associates Banking Ltd. The Supplier's acceptance of this Purchase Order shall constitute a binding agreement between the parties for the supply of the goods and services described herein.
