All Banker products and services referenced in this Purchase Order shall be delivered to the Buyer's premises located at 12 Deansgate Square, City Centre, Manchester, M3 3LH, United Kingdom. Delivery is scheduled no later than 30 July 2025. The Seller, Banker Enterprise Solutions Ltd., shall bear all costs associated with transportation, insurance, and handling of the Banker goods until they are received and signed for at the Manchester delivery address. Delivery shall be made between the hours of 08:00 and 16:00 on a weekday. The Buyer's site manager, Mr. David Okafor, shall be present to oversee the unloading and initial inspection of all Banker items. Any damage or discrepancy noted upon delivery must be recorded on the delivery docket and reported to the Buyer's procurement team within 48 hours.
5. Terms & Conditions- This Purchase Order constitutes a binding agreement between Manchester Financial Holdings Ltd. (Buyer) and Banker Enterprise Solutions Ltd. (Seller) for the supply of Banker products and associated services as detailed herein.
- All Banker products supplied under this Purchase Order must be new, unused, and in full compliance with applicable United Kingdom health, safety, and environmental regulations, including the UK Product Safety and Metrology Act 2024.
- The Seller warrants that all Banker items shall be free from defects in materials and workmanship for a minimum period of twelve (12) months from the date of delivery at the Manchester premises.
- Payment shall be made by BACS transfer to the Seller's designated United Kingdom bank account within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (PO-2025-MAN-04872).
- Any variation to this Purchase Order, including changes to the scope of Banker products, quantities, delivery dates, or pricing, must be agreed in writing by both parties prior to implementation.
- The Seller shall maintain adequate public liability insurance (minimum £10,000,000) and professional indemnity insurance throughout the duration of this Purchase Order and the warranty period.
- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- The Seller shall comply with all applicable United Kingdom data protection legislation, including the UK General Data Protection Regulation (UK GDPR), in relation to any personal data processed in connection with this Purchase Order.
- Time is of the essence. Failure by the Seller to deliver the Banker products by the agreed date shall entitle the Buyer to claim liquidated damages at a rate of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
