1. Scope of Purchase Order: This Purchase Order (PO-TK-2025-04872) is issued by Tashkent Financial Infrastructure JSC (hereinafter "Buyer") to Banker International Solutions LLC (hereinafter "Seller") for the supply, installation, and commissioning of banking hardware, software, and professional services as itemized above. All products and services shall be branded and delivered under the Banker product line and shall conform to the specifications agreed upon in the attached technical annex (Annex A, not included in this document).
2. Delivery and Location: All goods shall be delivered to the Buyer's premises located at 42 Amir Temur Avenue, Tashkent 100000, Uzbekistan, or to alternative delivery sites within Tashkent city as specified in writing by the Buyer. Delivery shall be made in accordance with DAP (Delivered at Place) terms under Incoterms 2020. The Seller shall bear all risks and costs of transport until the goods are placed at the disposal of the Buyer at the named destination in Tashkent.
3. Payment Terms: Payment shall be made in US Dollars (USD) via bank wire transfer to the Seller's designated account at a licensed commercial bank operating in Tashkent, Uzbekistan. Payment is due within thirty (30) calendar days from the date of receipt of a valid commercial invoice and delivery confirmation. A 20% advance payment shall be due within ten (10) business days of the Seller's written acceptance of this Purchase Order.
4. Compliance and Regulatory Requirements: All Banker products and services delivered under this Purchase Order shall comply with the regulations of the Central Bank of the Republic of Uzbekistan, the National Bank of Uzbekistan directives on information security, and all applicable laws of the Republic of Uzbekistan. The Seller warrants that all software shall include full Uzbek-language localization and that all hardware shall meet the electromagnetic compatibility standards required for operation within Uzbekistan.
5. Acceptance and Inspection: The Buyer shall have fifteen (15) calendar days from the date of delivery to inspect and test all goods and services. Any non-conformity shall be reported in writing to the Seller, who shall rectify or replace the affected items at no additional cost to the Buyer within ten (10) business days.
6. Intellectual Property: All Banker software licenses granted under this Purchase Order are non-transferable and limited to the Buyer's internal use at its Tashkent, Uzbekistan locations. The Seller retains all intellectual property rights in the Banker product line.
7. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to telecommunications infrastructure in Uzbekistan.
8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation, and failing that, through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the Arbitration Center of the Chamber of Commerce and Industry of Uzbekistan.
NOTE: This Purchase Order is valid for acceptance by the Seller within fourteen (14) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void. All communications regarding this Purchase Order shall be directed to the contact persons listed above. The Banker product line referenced herein is subject to the Seller's current product catalog and warranty policies as published on the official Banker website.
